Warrant Proceeds definition

Warrant Proceeds means, for each Company Warrant outstanding as of the Effective Time and cancelled pursuant to Section 1.12, an amount equal (i) the exercise price for a share of Company Common Stock underlying such Company Warrant multiplied by (ii) the number of shares of Company Common Stock underlying such Company Warrant.

Warrant Proceeds means the cash proceeds paid to the Company by Renova Media Enterprises Ltd. or any of its affiliates, or their successor or assigns, in connection with the exercise of warrants issued by the Company to purchase its capital stock.

Examples of Warrant Proceeds in a sentence

• Upon the exercise of any Warrant and clearance of the funds received, the Warrant Agent shall promptly remit the payment received for the Warrant (the "Warrant Proceeds") to the Company or as the Company may direct in writing.

More Definitions of Warrant Proceeds

Warrant Proceeds means the aggregate exercise price of all Warrants that entitle the holder to receive payment pursuant to Section 3.3.
