Specific Definition. Unless the context of a particular Section of this Agreement clearly dictates otherwise, the following terms shall have the following meanings:
Specific Definition. HIPAA Rules” shall mean the regulations promulgated under HIPAA by the United States Department of Health and Human Services including, but not limited to, the HIPAA Privacy Regulations (45 C.F.R. Part 160 and 45 C.F.R. Part 164, Subparts A and E); the HIPAA Security Regulations (45 C.F.R. Part 160 and 45 C.F.R. Part 164, Subparts A and C); and the HIPAA Breach Notification Regulations (45 C.F.R. Part 160 and 45 C.F.R. Part 164, Subparts A and D); all as amended by the HIPAA Omnibus Final Rule, and as otherwise may be amended from time to time.
Specific Definition. Retrenchment means the termination of an employee’s services where the specific job no longer exists as a consequence of a variety of possible factors including advances in technology, permanent changes in operation processes or markets, closure of an operation or is an exercise whereby management decides to reduce the number of employees due to a downturn of the economy or poor financial performance but excluding:- a) Where the Insured Persons are the owners or co-owners of the business exercising the Retrenchment programme or where the Insured Person/s are a director of the company where it is found that the directors were instrumental in the demise of the company; or b) Due to Illness or Injury; or c) Resignation from normal occupation or voluntary retrenchment; or d) Where the Government nationalizes or takes over the business; or e) Prior knowledge that Retrenchment would happen when the Policy was purchased.
Specific Definition. For purposes of this Article 3, “[***] clinical trial” shall mean a human clinical trial in any country the results of which [***]; and (b) a trial shall be “started” upon the enrollment of the first patient for such trial. If the nature of a trial [***] is not determined to be pivotal until after completion of the trial, then any milestone payment that would have been due upon start of a [***] trial shall be due upon submission of the trial in support of the filing of an application for marketing approval in the United States or Europe.
