The execution and delivery by the WELLC Parties of this Agreement and the consummation by the WELLC Parties of the transactions contemplated hereby do not conflict with, or result in a breach of, any law or regulation of any governmental authority applicable to any of the WELLC Parties or any material agreement to which any of the WELLC Parties is a party.
Each of the WELLC Parties has all requisite corporate or other power and authority to enter into this Agreement and to consummate the transactions contemplated hereby.
This Agreement has been duly executed and delivered by each of the WELLC Parties and constitutes a valid and binding obligation of each of the WELLC Parties enforceable against each of the WELLC Parties in accordance with its terms.
