Working Capital Contribution definition

Working Capital Contribution is defined in Section 3.4 hereof.
Working Capital Contribution means the amount payable to the Company each Fiscal Year by each of the Members for the Company’s working capital requirements pursuant to Section 5.3.
Working Capital Contribution shall have the meaning given to it in the Operating Agreement.

Examples of Working Capital Contribution in a sentence

  • Any Working Capital Contribution as defined in Section 3.4 shall also be considered as a Capital Contribution and such contribution shall not result in a change to the Member Percentage of any Member.

  • Any failure to fund the Working Capital Contribution in strict accordance with such schedules shall be deemed to be a material breach of this Operating Agreement.

  • In the event that, prior to the Specified Date with respect to an Operating Subsidiary, equity is issued by such Operating Subsidiary to the Company or any of its other Subsidiaries in exchange for a Working Capital Contribution, the Company agrees that the equity will be in the form of additional securities (rather than in the form of a modification to the conversion price or other terms of existing securities held by the Company in such Operating Subsidiary).

  • Any disagreements between the Company and the Investor Representative (on behalf of the holders of such Subsidiary Stock Purchase Rights) concerning the value of any Working Capital Contribution (other than cash and marketable securities) or the other calculations provided for in this Section 1.3(b) shall be determined pursuant to the Dispute Resolution Mechanism.

  • To the extent that the value of such investments made by the Company (or any of its other Subsidiaries) following the Closing Date exceeds $5,000,000 in the aggregate with respect to an Operating Subsidiary, (the amount of any such excess, a "Working Capital Contribution"), such Operating Subsidiary may, in exchange for such Working Capital Contribution, issue debt or equity to the Company.

  • Upon approval of each Annual Budget, NBGV shall fund the Working Capital Contribution in accordance with the schedule outlined in each Annual Budget, including any amendments thereto, until the full Working Capital Contribution has been funded.

  • On the date hereof, Patriot and TPL shall each make an Initial Working Capital Contribution to the Company of Two Million Dollars ($2,000,000), for an aggregate Initial Working Capital Contribution of Four Million Dollars ($4,000,000).

  • Working Capital Loan has the meaning specified in Section 2.1(c).

  • Net Working Capital Amount means, with respect to a Participating McNeil Partnership, the excess of the Positive Excess Cash Balance of such Participating McNeil Partnership over the cash on hand of such Participating McNeil Partnership immediately prior to the Effective Time.

  • Working Capital Adjustment Amount means an amount, which may be positive or negative, calculated in accordance with Schedule C, equal to the difference of (a) the Closing Date Adjusted Working Capital minus (b) the Preliminary Adjusted Working Capital.

  • Base Working Capital means $25,000,000.

  • Working Capital Adjustment has the meaning set forth in Section 2.5(a).

  • Working Capital Deficit means the amount, if any, by which the Closing Working Capital is less than the Target Working Capital.
