Working Capital Receivables definition

Working Capital Receivables means (i) in relation to each relevant Business, its Business Receivables as at the Effective Time and (ii) in relation to each Group Company, the aggregate of all amounts receivable, accrued or prepaid by or owed to said Group Company in respect of trading debtors as at the Effective Time, excluding (a) any item to be treated as part of the Cash Balances of said Group Company, and (b) debts owed to said Group Company which are not included in any Working Capital Statement, as included in line items under the heading “Working Capital Receivables” in Paragraph 3 of Schedule 13; and
Working Capital Receivables means the aggregate of all amounts receivable, accrued or prepaid by or owed to the Group Companies in respect of trading debtors as at the Effective Time, excluding (a) any item to be treated as part of the Cash Balances, and (b) debts owed to the Group Companies which are not included in any Working Capital Statement, as derived from the Working Capital Statement and included in line items under the heading "Working capital – Receivables" in Paragraph 3.1 of Schedule 10 Part 3; and
Working Capital Receivables means, as recorded in the Intermediary Accounts and the Closing Accounts, the aggregate for the Target (in euro and without double counting) of: i. any amounts owed by customers or other third parties, for services provided by the Target; and ii. any amounts of prepaid expenses deferred charges and accrued income, excluding prepaid loan expenses (account 490180). For information purpose, this typically consists of the following codes of the Belgian Standard Chart of Accounts: 3 (Inventories), 40 (Trade receivables), 41 (Other receivables), 490 (Deferred charges) and 491 (Accrued income).

Working Capital Receivables means, in relation to the Group, the aggregate of all amounts receivable for shipments made to customers or other amounts due in connection with customer orders (including, but not limited to freight charges), plus all ordinary course inter-company trade receivables due to any member of the Group from Seller’s Group (excluding Group Companies), comprising those Hyperion sub-accounts identified in Part I of Schedule 5 and as more particularly described in Schedule 6.

  • Initial Receivables means the Receivables transferred to the Trust on the Closing Date as set forth on the Schedule of Receivables attached to the Initial SSA Assignment.

Receivables owing from one Account Debtor will not be deemed Eligible Receivables to the extent they exceed 25% of the total Receivables outstanding. In addition, if more than 50% of the Receivables owing from an Account Debtor are outstanding more than 90 days from their invoice date (without regard to unapplied credits) or are otherwise not eligible Receivables, then all Receivables owing from that Account Debtor will be deemed ineligible for borrowing. Silicon may, from time to time, in its discretion, revise the Minimum Eligibility Requirements, upon written notice to the Borrower.

  • Finance Charge Receivables means Receivables created in respect of periodic finance charges, late fees, returned check fees and all other similar fees and charges billed or accrued and unpaid on an Account.

  • Intercompany Receivables means all account, note or loan payables and all advances (cash or otherwise) or any other extensions of credit that are receivable by Seller or any of its Affiliates (other than the Company or its Subsidiaries) from the Bank, the Company or its other Subsidiaries.

  • Receivables Facility Assets means presently existing and hereafter arising or originated Accounts, Payment Intangibles and Chattel Paper (as each such term is defined in the Uniform Commercial Code in effect in the State of New York from time to time) owed or payable to any Participating Receivables Grantor, and to the extent related to or supporting any Accounts, Chattel Paper or Payment Intangibles, or constituting a receivable, all General Intangibles and other forms of obligations and receivables owed or payable to any Participating Receivables Grantor, including the right to payment of any interest, finance charges, late payment fees or other charges with respect thereto (the foregoing, collectively, being “receivables”), all of such Participating Receivables Grantor’s rights as an unpaid vendor (including rights in any goods the sale of which gave rise to any receivables), all security interests or liens and property subject to such security interests or liens from time to time purporting to secure payment of any receivables or other items described in this definition, all guarantees, letters of credit, security agreements, insurance and other agreements or arrangements from time to time supporting or securing payment of any receivables or other items described in this definition, all customer deposits with respect thereto, all rights under any contracts giving rise to or evidencing any receivables or other items described in this definition, and all documents, books, records and information (including computer programs, tapes, disks, data processing software and related property and rights) relating to any receivables or other items described in this definition or to any obligor with respect thereto, and all proceeds of the foregoing.

  • Receivables Net Investment means the aggregate cash amount paid by the lenders or purchasers under any Permitted Receivables Financing in connection with their purchase of, or the making of loans secured by, Receivables Assets or interests therein, as the same may be reduced from time to time by collections with respect to such Receivables Assets or otherwise in accordance with the terms of the Permitted Receivables Documents (but excluding any such collections used to make payments of items included in clause (c) of the definition of Interest Expense); provided, however, that if all or any part of such Receivables Net Investment shall have been reduced by application of any distribution and thereafter such distribution is rescinded or must otherwise be returned for any reason, such Receivables Net Investment shall be increased by the amount of such distribution, all as though such distribution had not been made.
