Working Capital Reduction definition

Working Capital Reduction shall have the meaning ascribed to such term in Section 2.2(b)(viii).
Working Capital Reduction has the meaning set forth in Section 6.4 hereof.
Working Capital Reduction equals the amount by which Working Capital as of the Closing Date is less than the Working Capital as of March 31, 2005; provided that such amount shall not exceed an aggregate amount equal to (i) $200,000 multiplied by the number of fully elapsed months during the period from March 31, 2005 through the Closing Date, plus (ii) in the event that the Closing Date does not end on the last day of a month, a fraction of $200,000 equal to the number of days that have elapsed through the Closing during the month in which Closing occurs divided by the number of total days in such month. Other capitalized terms defined elsewhere in this Agreement and not defined in this Section 1.1 shall have the meanings assigned to such terms in this Agreement.

More Definitions of Working Capital Reduction

Working Capital Reduction means the Working Capital Adjustment Amount divided by the total number of Common Shares outstanding as of the Effective Time, except that the "Working Capital Reduction" shall mean zero (0) if the Final Working Capital Difference is greater or equal to the Initial Working Capital Difference.

Related to Working Capital Reduction

  • Working Capital Reserve means a cash reserve held in the Operating Account that is readily available to Manager during the Term to finance the services, repairs and maintenance described in Section 5.2 including Minor Capital Expenditures and Major Capital Expenditures, insurance premiums for the Property described in Section 9.1, and utilities for the Property, in such amounts as determined by the Owner in its sole discretion.
