  • All such Xxxxx Improvements arising in the Option Term will be deemed to be Xxxxx Intellectual Property and subject to the Option and license as set forth in this Agreement.

  • Notwithstanding the foregoing, a Party may agree in writing to assign ownership of certain Agreement Technology owned or controlled by that Party (including Xxxxx Improvements or TALi Improvements) to the other Party on a case-by-case basis.

  • Lilly will be responsible, at its own cost, for Prosecution of all Patents covering or claiming the Lilly Background IP, Xxxxx Improvements, Lilly Sole Inventions and Lilly Product Inventions.

  • Notwithstanding anything to the contrary in this Article 10, as between the Parties and their respective Affiliates, (a) TALi shall own all TALi Improvements and (b) Xxxxx shall own all Xxxxx Improvements.


More Definitions of Xxxxx Improvements

Xxxxx Improvements means any invention developed by Xxxxx or licensed to Xxxxx pursuant to the Head License, on the terms of this Agreement, which in each case such inventions may not be practised without the use of the Patent Rights. For the avoidance of doubt, any invention developed by Xxxxx, or supplied to Xxxxx pursuant to the Head License which is capable of being filed as part of the Patent Rights including as a continuation-in-part application will be so included, and will not be classed as a Xxxxx Improvement.

Related to Xxxxx Improvements

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Minimum Improvements means the acquisition of land and construction of a 64-unit market rate residential apartment building and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Maximum medical improvement means that no further material improvement would reasonably be expected from medical treatment or the passage of time;

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Public improvement means projects for construction, reconstruction or major renovation on real property by or for a public agency. “Public Works” shall mean roads, highways, buildings, structures and improvement of all types, the construction, reconstruction, major renovation or painting of which is carried on or contracted for by any public agency to serve the public interest by does not include the reconstruction or renovation of privately owned property which is leased by a public agency.

  • Capital Improvements mean the purchase, renovation, rehabilitation, or construction of permanent land, buildings, structures, equipment and furnishings used directly for or in the Project, and any goods or services for the Project that are purchased and capitalized under GAAP, including any organizational costs and research and development costs incurred in Illinois. Capitalized lease costs for land, buildings, structures or equipment shall be included in “Capital Improvements” only if the lease term, including any extensions or options to extend, equals or exceeds the term of this Agreement, and provided that such lease costs are valued at their present value using the corporate interest rate prevailing at the time the Company filed its Application with the Department.

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Tenant Improvement Work means the construction of the Tenant Improvements, together with any related work (including demolition) that is necessary to construct the Tenant Improvements.

  • The Works/Project means the works to be executed or done under this contract.

  • Development Cost means the total of all costs incurred in the completion of a Development excluding Developer Fee, operating deficit reserves, and total land cost as typically shown in the Development Cost line item on the development cost pro forma.

  • Improvement Plan means the plan required by the Authority from the Supplier which shall detail how the Supplier will improve the provision of the Goods and/or Services pursuant to Clause 29.1.1 (Authority Remedies);

  • Capital Improvement Project means the acquisition, construction, reconstruction, improvement, planning and equipping of roads and bridges, appurtenances to roads and bridges to enhance the safety of animal-drawn vehicles, pedestrians, and bicycles, wastewater treatment facilities, water supply systems, solid waste disposal facilities, and storm water and sanitary collection, storage and treatment facilities including real property, interests in real property, facilities, and equipment related or incidental to those facilities.
