Xxxxx Xxxxxx Entities definition

Xxxxx Xxxxxx Entities shall have the meaning set forth in the Recitals.

Xxxxx Xxxxxx Entities means, collectively, Xxxxx X. Xxxxxx, Xx., his spouse, siblings, parents, nephews, nieces, cousins, or any children or other descendants or the spouses of any of the foregoing, of Xxxxx Xxxxxx, whether individually or through any trust, family limited partnership or other entity in which any such individuals possess the entire beneficial or equity interest. Notwithstanding anything to the contrary, the death of Xxxxx X. Xxxxxx, Xx. or his spouse will not be a “CNL Change of Control”.

Xxxxx Xxxxxx Entities means, collectively, Xxxxx Xxxxxx and its Affiliates on the Effective Date immediately after giving effect to the Closing.

Subject to Section 3.01(e)(xiv), the Xxxxx Xxxxxx Entities shall pay the fees, costs and expenses to GE Global Research for GE Provided R&D Services and the GE Entities shall pay the fees, costs and expenses to the Xxxxx Xxxxxx Entities for Xxxxx Xxxxxx Provided R&D Services (each individually, “ R&D Fees”) as set forth in each Statement of Work .

Facility Costs shall be subject to annual increases consistent with actual increases in charges that (i) GE or Xxxxx Xxxxxx is applying to other GE Entities or Xxxxx Xxxxxx Entities in the same facility or (ii) are being applied by GE or Xxxxx Xxxxxx to similar facilities across each of their businesses.
