Xxxxxx Lab definition

Xxxxxx Lab means Xx. Xxxxx X. Wilson and all individuals who are under the direct supervision or control of Xx. Xxxxx X. Wilson or his successor as Director of the Xxxxxx Xxxx Therapy Program at Penn, provided that the Service Center Cores are not included in the Xxxxxx Lab, including any personnel of the Service Center Cores.

Xxxxxx Lab means all individuals within the Xxxxxx Laboratory at Penn that report directly to, or are under the direct supervision or control of Xxxxx X. Xxxxxx, MD, PhD. For the avoidance of doubt, the Xxxxxx Lab does not include the Xxxx Xxxx Therapy Program Vector Core, Immunology Core, Cell Morphology Core and Animal Models Core.

Xxxxxx Lab means Xx. Xxxxx X. Wilson and all individuals who are under the direct supervision or control of Xx. Xxxxx X. Wilson or his successor as Director of the Xxxxxx Xxxx Therapy Program at Penn, provided that the Service Center Cores are not included in the Xxxxxx Lab, including any personnel of the Service Center Cores. For clarity, and notwithstanding the foregoing sentence, Vector Operations is a department of the Xxxxxx Lab and is included in the Xxxxxx Lab, but the performance of Vector Core activities are specifically excluded from the Xxxxxx Lab. It is understood that the activities of the Xxxxxx Lab and/or Vector Operations in the performance of a Research Program are not Vector Core activities.” For clarity, references to the Xxxxxx Lab in the Collaboration Agreement, including in Sections 1.19, 1.47, 1.51, 1.57, 1.61, 1.67, 1.68, 1.69, 1.86 and 2.5.5 of the Collaboration Agreement, shall be deemed to refer to the Xxxxxx Lab and/or Vector Operations. g. • In advance of finalizing any agreement after the Effective Date with (1) a new commercial entity Penn wishes to identify as a new Xxxxxx Lab Sponsor pursuant to paragraph 1.A hereof (“Proposed Xxxxxx Lab Sponsor”), or (2) a current or new Xxxxxx Lab Sponsor to add a new Xxxxxx Lab Program that Penn wishes to protect pursuant to paragraph 1.A and 7 hereof (a “Future Xxxxxx Lab Program”), Penn will notify REGENXBIO of the proposed sponsor and the program’s proposed product candidates, including [****].
