Xxxxxx Transactions definition

Xxxxxx Transactions means, collectively, the transactions contemplated by the Merger Agreement, the Credit Agreement, the indenture pursuant to which the 2019 Notes and the 2021 Notes were issued, including the offering of the 2019 Notes and the 2021 Notes, the repayment of certain Indebtedness of Xxxxxx Energy Company and of Foundation PA Coal Company, LLC in connection therewith and the payment of fees and expenses related to all of the foregoing.
Xxxxxx Transactions means (a) the consummation of the Xxxxxx Acquisition and the other transactions contemplated by and pursuant to the Stock Purchase Agreement and (b) the incurrence on January 9, 2015 of Indebtedness and other obligations pursuant to the Existing Credit Agreement and the use of the proceeds of such Indebtedness and consummation of the other transactions contemplated by and pursuant to the Existing Credit Agreement.
