XXXXXX XXXXX Territory means the entire world outside of the Novacea Territory.

XXXXXX XXXXX shall have the right to use any Alternative Trademark chosen by NOVACEA pursuant to Section 2.2.1 (i) in the XXXXXX XXXXX Territory during and after the Royalty Term and (ii) in each country of the NOVACEA Territory with respect to which Termination (as defined in Section 9.3 below) has occurred.

XXXXXX XXXXX shall have the unrestricted right to grant sublicenses under the XXXXXX XXXXX Patents, XXXXXX XXXXX Know-How, NOVACEA Know-How and NOVACEA Patent rights with respect to the Licensed Product, if any, to manufacture, register, use, sell, offer to sell and import the Licensed Product and Improvements in the Field, to its Affiliates and Third Parties in the XXXXXX XXXXX Territory, without any NOVACEA consent required.
Except as otherwise agreed to by the Parties as part of a cost sharing arrangement, any recovery realized as a result of such litigation, after reimbursement of any litigation expenses of XXXXXX XXXXX and NOVACEA, shall be divided evenly by the Parties to the extent the recovery relates to the NOVACEA Territory and shall be retained solely by XXXXXX XXXXX to the extent recovery relates to the XXXXXX XXXXX Territory.
XXXXXX XXXXX shall have the non-exclusive, worldwide, perpetual, fully paid up and royalty-free right to use in all countries of the XXXXXX XXXXX Territory NOVACEA Intellectual Property Rights.
Regulatory matters concerning the ongoing development and Approval of the Licensed Product and any Improvement in the NOVACEA Territory and in major countries of the XXXXXX XXXXX Territory, may be discussed within the JDC.
At least once every Quarter, XXXXXX XXXXX shall notify NOVACEA of any material customer complaints with respect to the Finished Product, excluding pricing complaints with respect to the XXXXXX XXXXX Territory, that it has received.
