NOVACEA Territory definition

NOVACEA Territory means the United States of America (i.e. the fifty states of the USA and the District of Columbia, Puerto Rico and other U.S. territories and possessions) and Canada.

  • Provided that NOVACEA has received necessary supplies from XXXXXX XXXXX pursuant to the Supply Agreement, NOVACEA agrees to use Diligent Efforts to commercially launch the Licensed Product in each country of the NOVACEA Territory within ninety (90) days from the date of Approval of a first Approved Indication in each such country of the NOVACEA Territory.

  • Each Party agrees to abide by all applicable Legal Requirements concerning the confidentiality or protection of patient identifiable information and/or patients’ protected health information with respect to patients in Clinical Trials in the NOVACEA Territory, using the Finished Product in the NOVACEA Territory or otherwise involved in the development or commercialization of the Licensed Product or Improvements in the NOVACEA Territory.

  • EBITDAR shall be determined after deduction of JA&A professional fees.
