Xxxxxxx Call Agreement means the Call Agreement, dated as of the date of this Agreement, among TCI and each member of the Xxxxxxx Group. "Xxxxxxx Group" shall mean (i) each of Xxxx (individually and in any Representative Capacity), Xxx (individually and in any Representative Capacity), the Xxx Estate, the Xxxxx Estate, each other Person who now or hereafter has a Representative Capacity with respect to either of such estates or any trust established thereunder, (ii) each other Person who is required to or becomes a party to this Agreement and a member of the Xxxxxxx Group pursuant to any provision of this Agreement, (iii) each other Person who at any time acquires any High Vote Shares of any Company in a transaction or a chain of transactions initiated by another member of the Xxxxxxx Group, other than Exempt Transfers and (iv) each spouse or other Related Party of any member of the Xxxxxxx Group, in each case so long as such Person is or is required to be a party to this Agreement or such Person or any of its Related Parties is the direct or indirect Beneficial Owner of any High Vote Shares of any Company.
