Xxxxxxx Data definition

Xxxxxxx Data has the meaning given to it in the Xxxxxxx Agreement. *Confidential Treatment Requested

Xxxxxxx Data means the documentation, reports and data relating to the [*] Program that is specified on Exhibit A-1 that is owned or Controlled by Xxxxxxx or its Affiliates and was developed or used in connection with the [*] Program, together with any additional information delivered by Xxxxxxx pursuant to Section 3.3.

Xxxxxxx Data means any individually identifiable health information regarding Xxxxxxx patients accessed through the Service, including, without limitation, clinical information such as progress notes, specialty consults, laboratory and imaging results, patient demographic and insurance information. This information is protected by various state and federal privacy laws and regulations, including but not limited to HIPAA.

Examples of Xxxxxxx Data in a sentence

• Upon execution of this Agreement and any other required documents and approval of all access sites and Users, Sanford will provide One Chart Link Partner access to the Xxxxxxx Data and also provide limited training on the One Chart Link software.

• One Chart Link Partner agrees it will not access or use Xxxxxxx Data for any purpose other than those set forth in Paragraph 4 above and that if Xxxxxxx determines that One Chart Link Partner has accessed or used Xxxxxxx Data in a prohibited or unlawful manner, Xxxxxxx may unilaterally terminate all access and seek any such other relief as appropriate.

• One Chart Link Partner agrees that it will identify and maintain a list of authorized Users and ensure that only authorized Users access Xxxxxxx Data pursuant to this Agreement.

• Xxxxxxx has the ability to provide caregivers and other approved users secure electronic access to the Xxxxxxx Data, and One Chart Link Partner, through its Users, desires to obtain access to Xxxxxxx Data through the Service concerning those Xxxxxxx patients One Chart Link Partner has a relationship with.

• One Chart Link Partner understands that Xxxxxxx Data includes confidential patient information, including protected health information (“PHI”) as defined by HIPAA.

• The obligations of the parties to this Agreement pertaining to insurance and indemnification, confidentiality and HIPAA compliance, and permitted and prohibited uses of Xxxxxxx Data shall survive and continue beyond the termination of this Agreement.

• One Chart Link Partner will discontinue a User’s access to the Service in the event One Chart Link Partner determines that a User improperly accessed or used the Xxxxxxx Data, or shared passwords in violation of this Agreement or the User Agreement, and notify the Technical Liaison of the same.

• One Chart Link Partner agrees to comply with HIPAA in its use of Xxxxxxx Data and take all reasonable and necessary measures and precautions as required by HIPAA to ensure the privacy and security of the Xxxxxxx Data it accesses.

• One Chart Link Partner is solely responsible for the costs of equipment, maintenance and supplies required for access to and use of Xxxxxxx Data through the Service.

• One Chart Link Partner agrees to ensure that Users access Xxxxxxx Data in accordance with the terms of this Agreement and the User Agreement.

More Definitions of Xxxxxxx Data

Xxxxxxx Data means any data or information, including any Activity Data or performance or other usage data collected or created as a result of the use of the Xxxx® Platform and/or made available by Xxxxxxx to Customer through a Service, excluding any Patient Data.

Xxxxxxx Data means Xxxxxxx’x Confidential Information, including Financial Data, Xxxxxxx Materials and Xxxxxxx Personal Information;

Xxxxxxx Data means all Confidential Information of Xxxxxxx Group and all data and information, in whatever form or format, submitted to Provider (or its Affiliates or subcontractors) by or on behalf of Xxxxxxx or any of Xxxxxxx Affiliates, or obtained, developed or produced by Provider (or its Affiliates or subcontractors) in connection with the Services, including information relating to Xxxxxxx’x, or any of Xxxxxxx Affiliate’s, underwriting information, process and methods, customer data, financial data, suppliers, employees, technology, operations, facilities, consumer markets, products, capacities, systems, procedures, security practices, research, development, business affairs and finances, ideas, concepts, innovations, inventions, designs, business methodologies, improvements, trade secrets, copyrightable subject matter and other proprietary information. Xxxxxxx Data includes all such data and information Processed or stored, and/or then provided to or for Xxxxxxx Group as part of the Services, including, without limitation, data contained in forms, reports and other similar documents provided by Provider as part of the Services.
