XXXXXXXX GAAP means the generally accepted accounting principles followed in the preparation of the financial statements as of and for the years ended December 31, 1996 and 1997 for the Xxxxxxxx Automotive Group (which include entities not included in the Xxxxxxxx Group as defined herein) audited by Xxxxxx Xxxxxxxx LLP and accompanied by their report thereon dated May 21, 1998.
