Zell Xxxup definition

Zell Xxxup means (i) Samstock, (ii) TNI, (iii) any member of Samstock or TNI, (iv) any affiliate of any member of Samstock or TNI under control of, or common control with, such member, (v) Halmostock, (vi) any partner of Halmostock, (vii) any affiliate of any partner of Halmostock under control of, or common control with, Halmostock, and (viii) any corporations, partnerships, limited liability companies or other legal entities that are the affiliates of any of the foregoing, collectively; provided, however, that publicly held entities that might fall within this definition (a "Public Zell Xxxiliate") shall not be treated as affiliates of any member of the Zell Xxxup hereunder unless any member of the Zell Xxxup or any of its affiliates took any action, directly or indirectly, to suggest, encourage or assist such entity in taking the relevant action to be attributed to the Zell Xxxup hereunder. For purposes of the preceding sentence and the similar clause appearing in the second sentence of Section 3.1, the failure of any member of the Zell Xxxup or any of its affiliates, upon learning of a Public Zell Xxxiliate's action, to request that such Public Zell Xxxiliate refrain from taking such action because of the provisions of this Agreement will be deemed to constitute "encouraging or assisting" in such action.

Examples of Zell Xxxup in a sentence

  • The Company agrees to remove promptly all legends and stop transfer orders with respect to the transfer of Company Voting Securities being made to a person who is not then a member of the Zell Xxxup in compliance with the provisions of this Agreement.
