INSURANCE. The parties are responsible for insuring the goods in accordance with the division of responsibility indicated in the terms of delivery agreed. Other insurance is subject to separate agreement.
INSURANCE. The seller shall insure deliveries from stock. The cus- tomer or the supplying factory shall insure deliveries from factory. The recipient of the goods is responsible for applying for indemnity for damages occurring during transportation directly from the insurance company, which has insured the transportation. A preliminary noti- fication of damages shall be made within seven (7) days of receiving the goods. Damage to the goods does not entitle refusal to receive the goods or failure to pay the invoice. Insurance premiums are charged the buyer in connection with the invoice for the goods. The insurance premium is 0.35% of order value.
INSURANCE. During the Term and continuing after the expiration thereof or other termination of this Agreement, Licensee shall indemnify Licensor and its affiliates and shall hold it and them harmless from any loss, liability, damages, cost or expense, arising out of or relating to any claims or suits which may be brought or made against Licensee by reason of: (i) any breach, or allegation which if true would constitute a breach, of Licensee's representations and warranties made herein or its covenants or other undertakings made hereunder; (ii) any unauthorized use by Licensee of the Licensed Property; (iii) any use of any name, likeness, trademark, copyright, design, patent, process, method or device, except for those uses of the Licensed Property that are specifically approved by Licensor pursuant to the terms of this Agreement; (iv) Licensee's design, manufacture, distribution, shipment, advertising, promotion or sale of the Products or the Promotional and Packaging Material; (v) Licensee's non-compliance with any applicable laws or with any other applicable regulations; and (vi) any alleged defects and/or inherent dangers (whether obvious or hidden) in the Products or the use thereof.
