1.Champ d’application
1.1 Les présentes conditions générales de vente (ci-après les
« CGV ») constituent, conformément à l’article L.441-6 du Code de commerce français, le socle de la relation commerciale entre les parties.
1.2 Elles ont pour objet de définir les conditions dans lesquelles ECENTIAL ROBOTICS fournit ses systèmes, ses kits d’instruments à usage unique et ses kits réutilisables et les prestations de services y étant associés (ci-après les « Produits
») à ses acheteurs professionnels y compris les collectivités publiques (ci-après le ou les « Client(s) »).
1.3 En cas de contradiction entre les présentes CGV et les conditions générales d’achat du Client, les parties conviennent que les CGV primeront dans leur intégralité.
1.4 Les spécifications mentionnées sur les catalogues, brochures, imprimés commerciaux, documentation émanant de ECENTIAL ROBOTICS ne sont données qu’à titre d’information et n’ont qu’une valeur indicative. Les Produits sont fournis conformément aux spécificités détaillées par le fabricant dans ses propres fiches techniques.
1.5 Les CGV applicables sont celles qui l'étaient au moment de la commande. Les CGV sont régulièrement mises à jour, les nouvelles versions s’appliquent deux mois après leur publication.
2. Commande
2.1 Les caractéristiques des Produits sont celles qui figurent sur le bon de commande accepté par les deux parties et/ou l’offre de ECENTIAL ROBOTICS. Les commandes de Produits (ci- après les « Commandes ») devront faire l’objet d’une acceptation écrite de la part de ECENTIAL ROBOTICS.
La vente est parfaite et/ou le contrat formé (ci-après le « Contrat ») qu’après acceptation écrite de la Commande de la part de ECENTIAL ROBOTICS.
2.2 Les parties conviennent que toute Commande passée par le Client vaut acceptation des présentes CGV, y compris ses annexes, par le Client.
2.3 A compter de la formation du Contrat, le Client ne pourra renoncer à sa Commande, ou la modifier sans l’accord écrit de ECENTIAL ROBOTICS. Toute modification de la Commande initiale par le Client sera considérée comme une modification de l’offre et la Commande n’aura pas à être honorée si ECENTIAL ROBOTICS ne le souhaite pas.
3. Prix
3.1 Les prix s’entendent emballage compris, Hors Taxes (droits de douane, TVA ou diverses taxes), frais de port et d’assurance en sus. Les prix sont calculés sur la base des lois, règlements, usages, impôts, taxes et conditions de transport en vigueur à la date de la conclusion de la vente. Ils sont définis sur le catalogue ou sur le devis établi par ECENTIAL ROBOTICS à la demande du Client.
3.2 Les prix sont fixés en euros sauf accord exprès convenu entre ECENTIAL ROBOTICS et le Client.
3.3 ECENTIAL ROBOTICS se réserve la possibilité de modifier ses tarifs à tout moment, après information préalable des Clients, sous réserve des Commandes en cours. Les prix applicables sont donc ceux en vigueur au jour de la passation de la Commande par le Client.

General terms and conditions of sale Effective on July 1st, 2022
1. Scope
1.1 These general terms and conditions of sale (hereinafter the "GTC") constitute, in accordance with Article L.441-6 of the French Commercial Code, the basis of the commercial relationship between the parties.
1.2 Their purpose is to define the conditions under which ECENTIAL ROBOTICS provides its products, associated instrumentation and the services associated therewith (hereafter the "Products") to its professional purchasers including public authorities (hereafter the "Customer(s)").
1.3 In the event of any contradiction between these GTC and the Customer's general terms and conditions of purchase, the parties agree that the GTC shall take precedence in their entirety.
1.4 The specifications mentioned on the catalogues, brochures, commercial printed matter, documentation coming from ECENTIAL ROBOTICS are provided for information only and have only an indicative value. The Products are supplied in accordance with the specifications detailed by the manufacturer in its technical data sheets.
1.5 The applicable GTC are those that were applicable at the time of the order. The GTC are regularly updated, the new versions apply two months after their publication.
2. Order
2.1 The Product characteristics are those which appear on the purchase order accepted by both parties and/or the ECENTIAL ROBOTICS’ offer. Product orders (hereafter "Order(s)") shall be accepted in writing by ECENTIAL ROBOTICS.
The sale is perfect and/or the contract (hereafter the "Contract") formed only after written acceptance of the Order by ECENTIAL ROBOTICS.
2.2 The parties agree that any Order placed by the Customer constitutes acceptance of these GTC, including its appendices, by the Customer.
2.3 As from the formation of the Contract, the Customer cannot cancel or amend its Order, without ECENTIAL ROBOTICS’s written agreement. Any amendment to the initial Order made by the Customer will be considered a modification of the offer and ECENTIAL ROBOTICS will decide whether or not to honor the amended Order.
3. Prices
3.1 Prices include packaging, but exclude tax (customs duties, VAT or other taxes), shipping and insurance. The prices are calculated on the basis of the laws, regulations, customs, taxes and transport conditions in force at the time of the conclusion of the sale. Prices may be defined on the catalogue, on the estimate or in the offer established by ECENTIAL ROBOTICS at the Customer request.
3.2 Prices are in euros unless expressly agreed otherwise between ECENTIAL ROBOTICS and the Customer.
3.3 ECENTIAL ROBOTICS reserves the right to amend its prices at any time, after prior information of its Customers, with the exception of the current Orders. The applicable prices are thus those in force on the day of the placing of the Order by the Customer.
4. Livraison – Transport - Réception
4.1 Sauf convention contraire, les Produits vendus par ECENTIAL ROBOTICS voyagent aux risques du Client, dès le départ des entrepôts de ECENTIAL ROBOTICS et jusqu’au lieu de livraison convenu entre les parties.
4.2 La livraison est réputée effectuée soit (i) lors de la mise à disposition des Produits sur le site du Client soit (ii) lors de la mise à disposition dans les entrepôts de ECENTIAL ROBOTICS, conformément à ce qui a été convenu par les parties lors de la Commande.
4.3 En cas de retard, d’avarie des Produits ou de manquants, le Client devra faire les réserves d’usage notamment sur le bordereau de livraison, et les confirmer par écrit au transporteur dans les trois (3) jours, par lettre recommandée avec accusé de réception, avec copie à ECENTIAL ROBOTICS (article L.133-3 du Code de Commerce français).
4.4 Si l'expédition d'un Produit est retardée pour des raisons imputables au Client, ECENTIAL ROBOTICS aura le droit de stocker le Produit. ECENTIAL ROBOTICS prendra en charge les frais de stockage, y compris les coûts d'assurance, au cours des trente (30) premiers jours. Le Client sera ensuite facturé pour ces coûts. Tout supplément de prix à payer pour la réexpédition sera facturé au Client.
4.5 Il appartient au Client de vérifier la conformité des produits et l’état de leur emballage à la livraison. En cas de détérioration du colis ou d’anomalie apparente (colis endommagé, ouvert, etc.), le Client devra impérativement :
- S’il prend personnellement livraison des produits auprès du transporteur et qu’il est en mesure de formuler ses réserves auprès de ce dernier : signaler ses réserves sur le bordereau de livraison présenté par le transporteur au moment de la livraison ; et
- Signaler ses réserves au Service Client ECENTIAL ROBOTICS, dans un délai raisonnable après la livraison.
A défaut de suivre cette procédure, et sans préjudice du bénéfice des garanties légales rappelées aux articles 11, 12 et
13 ECENTIAL ROBOTICS ne prendra en charge aucune réclamation.
ECENTIAL ROBOTICS s'engage à rembourser ou à échanger les Produits ne correspondant pas à la Commande.
Aucun recours au titre de la non-conformité d'un Système ECENTIAL ROBOTICS ne pourra être engagé par le Client après signature de la Déclaration d’Acceptation.
5. Délais de livraison
5.1 ECENTIAL ROBOTICS s’engage à livrer les Produits au plus tard huit (8) mois après la confirmation de la Commande, à moins que des conditions particulières ne soient définies dans l'offre.
5.2 Le Client est informé que la passation d'une Commande génère pour ECENTIAL ROBOTICS un certain nombre de frais irrécouvrables. A ce titre, si la livraison d'un Produit commandé ne devait finalement pas avoir lieu pour des raisons imputables au Client, ce dernier serait redevable à ECENTIAL ROBOTICS, à titre de compensation, d’une somme forfaitaire correspondant à 30 % du montant hors taxes de du Produit commandé non livré.
6. Paiement
6.1 Sous réserve des conditions particulières inscrites sur la confirmation de l’offre, les Produits sont payables sous un délai maximum de soixante (60) jours nets à compter de la date d’émission de la facture. Aucun règlement anticipé ne donnera lieu à l’octroi d’un escompte.
4. Delivery - Transport - Receipt
4.1 Unless otherwise agreed, Products provided by ECENTIAL ROBOTICS travel at the Customer’s risk from the departure from ECENTIAL ROBOTICS's factory to the place of delivery agreed between the parties.
4.2 Delivery is deemed to be made either (i) when the Products are made available on the Customer's premises, or, (ii) when they are made available at ECENTIAL ROBOTICS's factory, in accordance with the Order terms.
4.3 In the event of delay, damage to the Products or missing Products, the Customer shall make the adequate reservations, specifically on the delivery note, and confirm them in writing to the carrier within three (3) days, by recorded deliver, with a copy sent to ECENTIAL ROBOTICS (article L.133-3 of the French Commercial Code).
4.4 If the shipping of a Product is delayed for reasons attributable to the Customer, ECENTIAL ROBOTICS shall be entitled to store the Product. ECENTIAL ROBOTICS shall bear storage costs, including insurance costs, for the first thirty (30) days. The Customer will be invoiced for these costs thereafter. Any reshipment costs will be paid and covered by the Customer.
4.5 It is the Customer's responsibility to check the compliance of the Products and the condition of their packaging on delivery. In the event of damage to the package or any apparent anomaly (damaged package, opened, etc.), the Customer must imperatively:
- indicate any reservations on the delivery slip presented by the carrier at the time of delivery in the event the Customer itself takes delivery of the products from the carrier;
- in the event it does not take delivery itself, communicate its reserves to ECENTIAL ROBOTICS’s Customer Care Service within a reasonable period of time after delivery. Failing this and subject to clauses 11, 12 et 13 ECENTIAL ROBOTICS will not accept any claim.
ECENTIAL ROBOTICS undertakes to refund or exchange Products that do not comply with the Order.
No action for the noncompliance of a ECENTIAL ROBOTICS Product may be engaged by the Customer after signature of the Declaration of Acceptance.
5. Delivery times
5.1 ECENTIAL ROBOTICS undertakes to deliver the Products no later than eight (8) months after the confirmation of the Order, unless special conditions are defined in the offer or in the Special Conditions.
5.2 The Customer is informed that the placing of an Order generates a certain number of unrecoverable costs for ECENTIAL ROBOTICS. In this respect, if the delivery of an ordered Product does not take place for reasons attributable solely to the Customer, the latter will be liable to ECENTIAL ROBOTICS, by way of compensation, for a set amount equivalent to 30% of the amount (excluding taxes) of the undelivered ordered Product.
6. Payment
6.1 Subject to the special conditions stated on the order confirmation, the Products are payable within a maximum period of sixty (60) days net from the invoice date. No early payment shall give rise to the granting of a discount.
6.2 Le paiement de la facture doit être net sans compensation ou remise quelconque et ECENTIAL ROBOTICS ne prendra pas en charge des frais bancaires autres que ceux facturés par sa propre banque.
6.3 Toute somme non payée à l’échéance figurant sur la facture entraine de plein droit, dès le jour suivant la date de règlement portée sur ladite facture, l’application (i) de pénalités de retard égales au taux d’intérêt appliqué par la Banque Centrale Européenne à son opération de refinancement la plus récente majoré de dix (10) points de pourcentage et (ii) d’une indemnité forfaitaire pour frais de recouvrement de quarante (40) Euros. Néanmoins, lorsque les frais de recouvrement exposés sont supérieurs au montant de cette indemnité forfaitaire, ECENTIAL ROBOTICS est également en droit de demander une indemnisation complémentaire justifiée.
6.4 En cas de somme non payée à l’échéance comme indiqué à l’article 6.3, le paiement de toutes autres sommes dues par le Client deviendra immédiatement exigible, même si elles font l’objet de traites acceptées.
6.5 ECENTIAL ROBOTICS se réserve la possibilité de céder les créances qu’il détient sur le Client à une société d’affacturage de son choix.
7. Réserve de propriété
ECENTIAL ROBOTICS se réserve l’entière propriété des Produits jusqu’à l’encaissement effectif de l’intégralité du prix payé par le Client en principal et en accessoire. Toute clause contraire, notamment insérée dans les conditions d’achat du Client, sera réputée non écrite.
7.2 Dans le cas de non-paiement et à moins que ECENTIAL ROBOTICS ne préfère demander l’exécution pleine et entière de la vente, ECENTIAL ROBOTICS se réserve le droit de prononcer la résolution de la vente après mise en demeure adressée au Client et de revendiquer les Produits livrés, les frais de retour restant à la charge du Client.
7.3 Il est interdit au Client de disposer des Produits qu’il n’aurait
pas intégralement payés pour les revendre ou les transformer.
8. Propriété intellectuelle
8.1 Les différentes ventes de Produits n’entrainent aucun transfert de droit de propriété intellectuelle et/ou industrielle relativement aux Produits au profit du Client, qui s'engage à ne pas fabriquer des produits similaires ou contrefaisant les Produits, décompiler, désassembler les Produits ou effectuer une quelconque ingénierie sur les éléments tangibles et intangibles des Produits.
8.2 ECENTIAL ROBOTICS sera seul propriétaire de tout changement ou amélioration de ses Produits qu'il entreprendra suite aux informations et retours d'expérience donnés par le Client.
8.3 Le cas échéant, une licence du logiciel contenu dans le Produit est accordée au Client, selon les conditions définies dans l'annexe spécifique intitulée "Licence Logicielle" remise le cas échéant au Client.
9. Force majeure
9.1 Dès la survenance d’un cas de force majeure, ECENTIAL ROBOTICS se réserve la possibilité de suspendre, en totalité ou en partie, l’exécution des Commandes, jusqu’à la cessation dudit cas de force majeure.
6.2 The payment of the invoice must be net of any compensation or discount, and ECENTIAL ROBOTICS will not bear any bank charges other than those invoiced by its own bank.
6.3 Any sum not paid on the invoice’s due date entails, from the day following the date of due payment, the application of: (i) late payment penalties equal to the interest rate applied by the European Central Bank to its most recent refinancing operation increased by ten (10) percentage points, and (ii) a set compensation for recovery costs of forty (40) Euros. However, if the recovery costs incurred are higher than the amount of this flat-rate compensation, ECENTIAL ROBOTICS shall also be entitled to request additional justified compensation.
6.4 In the event of a sum not paid on the due date as referred to in clause 6.3, the payment of all other sums owed by the Customer shall become immediately due and payable, even if they are subject to accepted bill of trade.
6.5 ECENTIAL ROBOTICS reserves the possibility to assign the claims it holds on the Customer to a factoring company of its choice.
7. Retention of title
7.1 ECENTIAL ROBOTICS reserves full ownership of the Products until effective collection of the totality of the price to be paid by the Customer in principal and accessory. Any clause to the contrary, in particular inserted in the Customer’s conditions of purchase, will be considered void.
7.2 In the event of non-payment and unless ECENTIAL ROBOTICS prefers to request the full and entire execution of the sale, ECENTIAL ROBOTICS reserves the right to pronounce the cancellation of the sale after formal notice addressed to the Customer and to claim the delivered Products, the return expenses remaining at the expense of the Customer.
7.3 It is forbidden for the Customer to dispose of the Products which it has not fully paid to resell or transform them.
8. Intellectual property
8.1 The sale of Products does not entail any transfer of ECENTIAL ROBOTICS intellectual and/or industrial property rights to the Customer, which undertakes not to manufacture similar or counterfeit products or disassemble, dismantle or reverse engineering tangible or intangible components of the Products.
8.2 ECENTIAL ROBOTICS will be the sole owner of any change or improvement of its Products that it will undertake following information and feedback given by the Customer.
8.3 Where applicable, a license to the software contained in the Product is granted to the Customer, in accordance with the terms defined in the specific appendix entitled "Software License" provided, if applicable, to the Customer.
9. Force Majeure
9.1 As soon as a case of force majeure occurs, ECENTIAL ROBOTICS reserves the right to suspend, in whole or in part, the execution of the Orders, until the end of the said case of force majeure.
9.2 Est considéré comme un cas de force majeure au sens des présentes CGV : (i) tout évènement tel que défini légalement et/ou par la jurisprudence et (ii) l’un des évènements suivants: les grèves totales ou partielles, pandémie entravant la bonne marche de ECENTIAL ROBOTICS ou celle de l’un de ses fournisseurs, sous- traitants ou transporteurs ainsi que l’interruption des transports, de la fourniture d’énergie, de matières premières ou de pièces détachées.
10. Installation
10.1 Certains Produits commercialisés par ECENTIAL ROBOTICS nécessitent un processus spécifique d'installation qui est soumis aux dispositions prévues au présent article.
10.2 Le positionnement du Produit, y compris la préparation de la salle où il sera placé, doit être exécuté par le Client.
10.3 Si l'achèvement de l'installation est retardé pour des raisons imputables au Client, et en particulier en raison d’informations techniques incorrectes ou incomplètes relatives à l'équipement des locaux, le Client sera facturé pour les dépenses supplémentaires résultant du retard.
10.4 Durant l'installation un représentant de ECENTIAL ROBOTICS évalue le Produit dans le cadre d'une procédure de test standardisée, afin de vérifier qu'il fonctionne conformément au cahier des charges. Un représentant du Client doit être présent au moment de ce test.
10.5 Après l'exécution conforme de l'installation, le Client doit accepter le Produit. Le Client et ECENTIAL ROBOTICS signent conjointement un procès-verbal d'installation ainsi qu'une déclaration d'acceptation (« la Déclaration d'Acceptation »). La Déclaration d'Acceptation fait partie intégrante du Contrat.
10.6 Le Client ne peut pas refuser de signer la Déclaration d'Acceptation en raison de problèmes mineurs ou esthétiques qui n'empêcheraient pas le fonctionnement du Produit dans des conditions normales d'utilisation et d'exploitation.
10.7 Ledit Produit ne doit pas être utilisé avant la réception et
la signature de la Déclaration d’Acceptation.
10.8 Si le Client utilise le Produit avant la signature de la Déclaration d’Acceptation, le Produit est considéré comme accepté et les paiements restant éventuellement dus deviennent immédiatement exigibles.
10.9 Tout au long de l'usage du(des) Produit(s), le Client s'engage à informer sans délai ECENTIAL ROBOTICS de tout problème ou incident majeur détecté lors de l’utilisation desdits Produits ou présentant des risques pour les utilisateurs ou les tiers et notamment les patients.
10.10 Le Client répondra à tout questionnaire d'évaluation fourni par ECENTIAL ROBOTICS.
11. Garanties des kits à usage unique d’instrumentation
navigable
ECENTIAL ROBOTICS garantit son kit à usage unique d’instrumentation navigable pour application SPINE UNIVERSAL contre tout défaut matériel, de fabrication et de stérilisation pendant une durée de trois (3) mois à partir de la date de livraison.
Pendant la période de garantie, ECENTIAL ROBOTICS remplacera le kit dans son intégralité, conformément aux conditions et sous réserve des cas d’exclusion indiqués dans les présentes CGV.
9.2 Is considered as a case of force majeure within the meaning of these GTCs: (i) any event as defined by French law and/or French case law; (ii) one of the following events: total or partial strikes or pandemic hindering the proper functioning of ECENTIAL ROBOTICS or that of one of its suppliers, subcontractors or carriers or the interruption of transport, energy supply, raw materials or spare parts.
10. Installation
10.1 Certain Products marketed by ECENTIAL ROBOTICS require a specific installation process which is submitted to this stipulation.
10.2 The positioning of the Product, including the preparation of the room where it will be placed, must be carried out by the Customer.
10.3 If the completion of the installation is delayed for reasons attributable to the Customer, and in particular due to incorrect or incomplete technical information regarding the equipment of the premises, the Customer will be charged for any additional expenses incurred by ECENTIAL ROBOTICS resulting from the delay.
10.4 During the installation, a ECENTIAL ROBOTICS representative shall evaluate the Product within the framework of a standardized test procedure in order to ensure it functions in accordance with the specifications. A Customer’s representative must be present at the time of this test.
10.5 After the installation has been carried out in accordance with the specifications, the Customer shall accept the Product. The Customer and ECENTIAL ROBOTICS shall jointly sign an installation report and a declaration of acceptance (herein the "Declaration of Acceptance"). The Declaration of Acceptance is integral to the Agreement.
10.6 The Customer may not refuse to sign the Declaration of Acceptance due to minor or aesthetic problems which would not prevent the Product from functioning under normal conditions of use and operation.
10.7 The said Product must not be used until the Declaration of Acceptance has been received and signed.
10.8 If the Customer uses the Product before the Declaration of Acceptance has been signed, the Product shall be deemed accepted and any outstanding payments shall become immediately due and payable.
10.9 Throughout the use of the Products, the Customer undertakes to inform ECENTIAL ROBOTICS without delay of any problem or major incident detected during the use of the said Products or presenting risks for users or third parties and in particular patients.
10.10 The Customer agrees to answer any evaluation questionnaire provided by ECENTIAL ROBOTICS.
11. Single-use navigable instrumentation kit warranty ECENTIAL ROBOTICS guarantees its single-use navigable instrumentation kit for SPINE UNIVERSAL application against all material, manufacturing and sterilization defects for a period of three (3) months from the date of manufacture.
During this warranty period, ECENTIAL ROBOTICS will replace the kit in its entirety, in accordance with the conditions and subject to the cases of exclusion indicated in this document.
Cette garantie couvre la non-conformité des Produits à la Commande ou tout vice caché, résultant d'un défaut de matière, de conception ou de fabrication affectant les Produits livrés et les rendant impropres à l'utilisation.
La garantie n’est valable que si le kit à usage unique d’instrumentation navigable, pour applications 3D SPINE UNIVERSAL et 3D SPINE ROBOTICS WORKFLOW, est
utilisé conformément aux recommandations du fabricant. La
garantie ne pourra pas s’appliquer :
- Si le kit est utilisé plus d’une fois par l’utilisateur
- En cas de dommages occasionnés lors de l’ouverture incorrecte de l’emballage stérile, non conforme aux procédures décrites dans le mode d’emploi ;
- En cas d’endommagement de l’emballage stérile sous contrôle de l’utilisateur, à l’exception des manipulations de l’utilisateur pour ouvrir l’emballage avec l’intention d’utiliser le kit ;
- En cas de dommages liés à des modifications apportées aux éléments constituants le kit par l’utilisateur ou par des tiers après la date de fabrication ;
- En cas de dommages liés à un cas de force majeure ou à tout autre événement indépendant de la volonté du fabricant ; ou
- En cas de dommages résultant d’une négligence ou d’une mauvaise utilisation, y compris mais sans s’y limiter : mauvaises conditions de rangement ou un usage abusif (par exemple chute).
La présente garantie s’applique uniquement au Client initial. La présente garantie sera automatiquement résiliée en cas de cession, location ou tout autre transfert ou utilisation.
12. Garanties des kits réutilisables
ECENTIAL ROBOTICS garantit son kit réutilisable contre tout défaut matériel, de fabrication pendant une durée de trois (3) mois à partir de la date de livraison dans des conditions normales d’utilisation avant sa première utilisation seulement. Pendant la période de garantie, ECENTIAL ROBOTICS remplacera tout ou partie du kit réutilisable défectueux conformément aux conditions et sous réserve des cas d’exclusion indiqués dans les présentes CGV.
La garantie n’est valable que si le kit réutilisable utilisé conformément aux recommandations de ECENTIAL ROBOTICS. La garantie ne pourra pas s’appliquer :
• En cas de dommages occasionnés lors de l’ouverture incorrecte de l’emballage
• En cas d’endommagement de l’emballage sous contrôle de l’utilisateur, à l’exception des manipulations de l’utilisateur pour ouvrir l’emballage avec l’intention d’utiliser le kit réutilisable ;
• En cas de dommages liés à des modifications apportées aux éléments constituants le kit réutilisable par l’utilisateur ou par des tiers après la date de fabrication ;
• En cas de dommages liés à un cas de force majeure ou à tout autre événement indépendant de la volonté du fabricant ; ou
• En cas de dommages résultant d’une négligence ou d’une mauvaise utilisation, y compris mais sans s’y limiter : mauvaises conditions de rangement ou un usage abusif (par exemple : une chute).
La présente garantie s’applique uniquement à l’acquéreur initial. La présente garantie sera automatiquement résiliée en cas de cession, location ou tout autre transfert ou utilisation.
This warranty covers the noncompliance of the Products with the Order or any hidden defect, resulting from a defect in material, design or manufacture affecting the delivered Products and rendering them unfit for use.
This warranty is valid only if the single-use navigable instrumentation kit, for 3D SPINE UNIVERSAL & 3D SPINE ROBOTICS WORKFLOW applications, is used in accordance with the manufacturer's recommendations. The warranty will not apply:
- If the kit is used more than once by the user;
- In the event of damage caused by improper opening of the sterile packaging that does not comply with the procedures described in the instructions for use;
- In case of damage to the sterile packaging under the control of the user, with the exception of manipulation by the user to open the packaging with the intention of using the kit;
- In case of damage due to modifications made to the kit components by the user or by third parties after the date of manufacture;
- In case of damage due to force majeure or any other event beyond the manufacturer's control; or
- In case of damage resulting from negligence or misuse, including but not limited to: poor storage conditions or misuse (e.g. dropping).
This warranty applies only to the original Customer. This warranty shall automatically terminate in the event of assignment, rental or any other transfer or use.
12. Reusable kit warranty
ECENTIAL ROBOTICS guarantees its reusable kit, against all material, manufacturing and sterilization defects for a period of three (3) months from the date of delivery.
During this warranty period, ECENTIAL ROBOTICS will replace all or part of the reusable kit in accordance with the conditions and subject to the cases of exclusion indicated in these GTC.
This warranty is valid only if the reusable kit is used in accordance with the manufacturer's recommendations. The warranty will not apply:
- In the event of damage caused by improper opening of the packaging that does not comply with the procedures described in the instructions for use;
- In case of damage to the packaging under the control of the user, with the exception of manipulation by the user to open the packaging with the intention of using the kit;
- In case of damage due to modifications made to the kit components by the user or by third parties after the date of manufacture;
- In case of damage due to force majeure or any other event beyond the manufacturer's control; or
- In case of damage resulting from negligence or misuse, including but not limited to: poor storage conditions or misuse (e.g. dropping).
This warranty applies only to the original Customer. This warranty shall automatically terminate in the event of assignment, rental or any other transfer or use.
13. Garantie des systèmes ECENTIAL ROBOTICS
13.1 Garantie commerciale
Les Produits sont livrés avec une garantie contractuelle d’une durée d’un (1) an, à compter de la date de livraison. Cette garantie couvre la non-conformité des Produits à la Commande et tout vice caché, provenant d’un défaut de matière, de conception ou de fabrication affectant les Produits livrés et les rendant impropres à l’utilisation.
Dans ces conditions, ECENTIAL ROBOTICS remplacera ou fera réparer les Produits ou pièces sous garantie, cette garantie couvrant également les frais de main-d’œuvre.
Les défauts et détériorations des Produits livrés consécutifs à des conditions anormales de stockage et/ou de conservation chez le Client, notamment en cas d’un accident de quelque nature que ce soit, ne pourront ouvrir droit à la garantie due par ECENTIAL ROBOTICS.
13.2 Garantie des vices cachés
Au titre de la garantie des vices cachés, ECENTIAL ROBOTICS ne sera tenue que du remplacement sans frais des Produits ou composants défectueux, sans que le Client puisse prétendre à l’obtention de dommages et intérêts, pour quelque cause que ce soit.
ECENTIAL ROBOTICS garantit ses Produits contre les vices cachés, conformément à la loi, les usages, la jurisprudence, et dans les conditions suivantes :
— la garantie ne s’applique qu’aux Produits qui sont devenus régulièrement la propriété de l’acquéreur initial ;
— elle est exclue dès lors qu’il a été fait usage des Produits dans
des conditions d’utilisation ou de performances non prévues.
13.3 Exclusions
A défaut de convention particulière expresse, le Client reste seul responsable de l’usage des Produits fournis par ECENTIAL ROBOTICS et de leur adéquation à la destination. Le Client, en tant que professionnel, s’engage à avoir lui-même une assurance couvrant de manière suffisante son activité.
ECENTIAL ROBOTICS ne sera pas tenu pour responsable (i) de l'incapacité du Client à utiliser toutes les capacités du système et à en tirer tous les avantages, ainsi que (ii) des éventuels incidents provoqués par l'usage du Produit dans des conditions qui ne sont pas conformes aux manuels de l'utilisateur.
Lorsqu'une formation est requise pour l'utilisation d'un Produit, ECENTIAL ROBOTICS ne sera pas tenu responsable si les Produits sont utilisés par des personnes qui n'ont pas été formées par ECENTIAL ROBOTICS. ECENTIAL ROBOTICS
s'engage à répondre à des demandes de formation sur le produit en offrant des services adaptés aux besoins.
En tout état de cause, toute garantie et toute responsabilité de ECENTIAL ROBOTICS sont exclues pour des incidents tenant à des cas de force majeure, ainsi que dans les cas suivants :
- l'usure normale du Produit,
- les détériorations ou accidents provenant de négligence, défaut de surveillance,
- une maintenance inappropriée de la part du Client,
- un défaut d’entretien quotidien de la part du Client, le non- respect par lui des prescriptions d’entretien des Produits faites par ECENTIAL ROBOTICS, des règles de l'art en vigueur dans la profession du Client, les contrôles périodiques définis par la réglementation,
- le non-respect des réglementations de sécurité et d'environnement applicables au Client,
- l’utilisation anormale des Produits,
13. ECENTIAL ROBOTICS systems’ warranty
13.1 Commercial warranty
The Products are delivered with a contractual warranty of one (1) year from the date of delivery. This warranty covers the noncompliance of the Products with the Order or any hidden defect, resulting from a defect in material, design or manufacture affecting the delivered Products and rendering them unfit for use.
Under these conditions, ECENTIAL ROBOTICS will replace or repair the Products or parts under warranty, this warranty also covering labor costs.
This warranty does not cover defects or deterioration of the delivered Products resulting from abnormal conditions of storage and/or conservation at the Customer's premises, in particular in the event of an accident of any nature whatsoever.
13.2 Warranty for hidden defects
Under the guarantee of hidden defects, ECENTIAL ROBOTICS will only be held responsible for the replacement of defective Products or components free of charge, without the Customer being able to claim damages, for whatever reason.
ECENTIAL ROBOTICS guarantees its Products against hidden defects, in accordance with the law, customs, jurisprudence, and under the following conditions:
- the guarantee applies only to the Products which became regularly the property of the initial purchaser;
- it is excluded when the Products have been used in conditions of use or performance not foreseen.
13.3 Exclusions
In the absence of an express special agreement, the Customer remains solely responsible for the use of the Products supplied by ECENTIAL ROBOTICS and their suitability for the destination. The Customer, as a professional, undertakes to have himself an insurance covering his activity in a sufficient manner.
ECENTIAL ROBOTICS will not be held responsible (i) for the incapacity of the Customer to use all the capacities of the system and to draw all the advantages from it, as well as (ii) for the possible incidents caused by the use of the Product in conditions which are not in conformity with the user's manuals.
When training is required for the use of a Product, ECENTIAL ROBOTICS will not be held responsible if the Products are used by persons who have not been trained by ECENTIAL ROBOTICS. ECENTIAL ROBOTICS
undertakes to respond to requests for training on the Product by offering services adapted to the needs.
In any case, the guarantee and liability of ECENTIAL ROBOTICS are excluded for incidents due to cases of force majeure, as well as in the following cases:
- normal wear and tear of the Product,
- damage or accidents resulting from negligence, lack of supervision,
- improper maintenance on the part of the Customer,
- a failure of daily maintenance on the part of the Customer, the non-respect by him of the maintenance prescriptions of the Products made by ECENTIAL ROBOTICS, of the rules of art in force in the Customer's profession, the periodic controls defined by the regulations,
- non-compliance with safety and environmental regulations applicable to the Customer,
- abnormal use of the Products,
- le défaut de compétence des utilisateurs des Produits,
- l’intervention du Client ou d’un tiers sur le Produit : modifications, réparations, adjonction de pièces de rechange non d’origine ou refaites sans l'accord exprès de ECENTIAL ROBOTICS,
- le non-paiement par le Client d’un des termes de paiement
prévus, et plus généralement,
- en cas de défaut résultant d’une faute du Client.
14. Limite de responsabilité
Le Client reconnaît expressément avoir reçu de ECENTIAL ROBOTICS toutes les informations nécessaires, lui permettant d’apprécier l’adéquation des Produits à ses besoins et de prendre toutes les précautions utiles pour leur utilisation. Dans les limites autorisées par la réglementation en vigueur, la responsabilité de ECENTIAL ROBOTICS ne pourra en aucun cas être engagée en cas de dommage résultant :
- d’une utilisation ou d’un stockage des Produits non conforme à la documentation fournie par ECENTIAL ROBOTICS (notamment la Notice d’Instruction ou le conditionnement) ;
- de la réutilisation d’un Produit à usage unique, de la modification ou d’une utilisation impropre ou non conforme d’un Produit, quelle qu’elle soit.
Le Client reconnaît expressément que l’utilisation des Produits se fait sous sa seule responsabilité. Aucun conseil et aucune information, qu'ils soient oraux ou écrits, obtenus par le Client ne sont susceptibles de créer des garanties non expressément prévues par les présentes CGV, ni d’entraîner la responsabilité de ECENTIAL ROBOTICS en cas de dommages, de quelque nature qu’ils soient, causés au Client ou à des tiers du fait de la mauvaise utilisation par le Client des Produits, en violation des stipulations du présent article et plus généralement du non- respect des présentes CGV.
Dans les limites autorisées par la réglementation en vigueur, la responsabilité de ECENTIAL ROBOTICS est expressément exclue pour les dommages indirects et/ou immatériels de quelque nature qu’ils soient subis par le Client, y compris, sans que cette liste ne soit limitative, la perte de profit, perte de bénéfices, perte de clientèle, trouble commercial quelconque, préjudice d’image, en relation ou provenant de l’utilisation des Produits causés au Client ou à des tiers.
Dans l’hypothèse où la responsabilité de ECENTIAL ROBOTICS serait engagée du fait d’une faute avérée de cette dernière, la responsabilité globale totale cumulée de ECENTIAL ROBOTICS sera expressément limitée, toutes causes confondues, au préjudice direct et prévisible subi par le Client, sans pouvoir excéder le montant des sommes effectivement payées par le Client au jour du fait générateur de la responsabilité de ECENTIAL ROBOTICS. Les parties reconnaissent que le prix payé par le Client reflète la répartition des risques découlant des présentes CGV ainsi que l’équilibre économique voulu par les parties, et que sans les limitations de responsabilité qui précèdent, ECENTIAL ROBOTICS n’aurait pas contracté audit prix ou aux termes des présentes.
- the lack of competence of the users of the Products,
- the intervention of the Customer or a third party on the Product: modifications, repairs, addition of non-original spare parts or remade without the express agreement of ECENTIAL ROBOTICS,
- non-payment by the Customer of one of the payment terms provided for, and more generally,
- in the event of a defect resulting from a fault on the part of the Customer.
14. Limitation of liability
The Customer expressly acknowledges having received from ECENTIAL ROBOTICS all information necessary to assess the suitability of the Products to its needs and to take all necessary precautions for Product use. Within the limits authorized by applicable regulations, ECENTIAL ROBOTICS’s liability may not be incurred in the event of damage resulting from use or storage of the Product:
- that does not conform with the documentation provided by ECENTIAL ROBOTICS (in particular the Instructions For Use or packaging);
- implying reuse of a single-use Product, modification or improper or non-conforming use of a Product, whatever it may be.
The Customer expressly acknowledges that the use of the Products is under its sole responsibility. No advice or information, whether oral or written, obtained by the Customer is likely to create guarantees not expressly provided for by the present GTC, nor to involve the liability of ECENTIAL ROBOTICS in the event of damage, of any nature whatsoever, caused to the Customer or to third parties due to the misuse by the Customer of the Products, in breach of the stipulations of the present article and more generally of the present GTC.
Within the limits authorized by the regulations in force, the liability of ECENTIAL ROBOTICS is expressly excluded for indirect and/or immaterial damages of any nature whatsoever suffered by the Customer including, but not limited to loss of profit, loss of goodwill, commercial disturbance of any kind, damage to image, in connection with or arising from the use of the Products caused to the Customer or to third parties.
In the event the liability of ECENTIAL ROBOTICS is incurred due to a proven fault of the latter, the total aggregate liability of ECENTIAL ROBOTICS will be expressly limited to the direct and foreseeable prejudice suffered by the Customer without being able to exceed the amount of the sums effectively paid by the Customer on the day of the event generating the liability of ECENTIAL ROBOTICS. The parties acknowledge that the price paid by the Customer reflects the allocation of risks arising from these GTCs as well as the economic balance intended by the parties, and that without the foregoing limitations of liability, ECENTIAL ROBOTICS would not have contracted at said price or under the terms hereof.
15. Confidentialité
15.1 Toutes les informations et données de toute nature, notamment technique, scientifique, économique, financière, commerciale, comptable, tout plan, étude, prototype, matériel, audit, données expérimentales et de tests, dessins, représentations graphiques, spécifications, savoir-faire, expérience, logiciels et programmes, quels qu’en soient la forme, le support ou le moyen, incluant, sans limitation, les communications orales, écrites ou fixées sur un support quelconque (ci-après les « Informations Confidentielles »), fournis au Client par ECENTIAL ROBOTICS restent l'entière propriété de ECENTIAL ROBOTICS.
15.2 Le Client s’engage à observer et faire observer la plus stricte confidentialité à l’égard des Informations Confidentielles, et à prendre toutes mesures nécessaires pour en préserver la confidentialité, à l’égard notamment de son personnel permanent ou temporaire et de ses sous-traitants amenés à avoir connaissances des Informations Confidentielles.
15.3 N’est pas considérée comme une Information
Confidentielle, toute information :
- entrée dans le domaine public avant sa divulgation ou après celle-ci, sans faute de la part du Client, et sans qu’il y ait violation d’une obligation de secret ;
- déjà en possession du Client au jour de la signature des présentes CGV ;
- que le Client a reçu licitement d’un tiers, sans qu’il y ait eu violation d’une obligation de secret ;- développée par ou pour le Client, indépendamment de toute accès aux informations confidentielles
- devant être communiquée en application de xxxx, réglementations, décisions de justice, à condition que le Client en informe ECENTIAL ROBOTICS et que des mesures aient été prises pour assurer la confidentialité de l’information malgré sa communication.
15.4 Le Client se porte-fort du respect des présents engagements par toute personne, physique ou morale, à laquelle il aurait communiqué les Informations Confidentielles. Les présents engagements de confidentialité s’imposent au Client pour toute la durée des présentes CGV ainsi que pour une période de trois (3) ans suivant l’arrêt d’usage du Produit par le Client pour quelque raison que ce soit (mise au rebut, etc.).
16. Respect des données personnelles
16.1Données Personnelles des Employés des Parties
Dans le cadre de leurs relations contractuelles, les Parties s’engagent à respecter la réglementation en vigueur applicable au traitement de données à caractère personnel et, en particulier, le règlement (UE) 2016/679 du Parlement européen et du Conseil du 27 avril 2016 applicable à compter du 25 mai 2018 (ci-après le « RGPD »). Lors de l’exécution par les présentes CGV, les Parties peuvent être amenées à se transmettre des Données Personnelles (tel que défini par le RGPD) relatives à des personnes respectivement employées par elles, quel que soit leur statut (CDI, CDD, intérim, stage, etc.) (ci-après les « Employés »). Les Données Personnelles des Employés collectées dans le cadre de la présente relation contractuelle font l’objet d’un traitement au sens du RGPD.
15. Confidentiality
15.1 All information and data of any nature, in particular technical, scientific, economic, financial, commercial, accounting, any plan, study, prototype, material, audit, experimental and test data, drawings, graphic representations, specifications, know-how, experience, software and programs, whatever the form, support or means, including, without limitation, oral, written or fixed communications on any support (hereafter the "Confidential Information"), provided to the Customer by ECENTIAL ROBOTICS shall remain the entire property of ECENTIAL ROBOTICS.
15.2 The Customer undertakes to observe and ensure the strictest confidentiality with regard to the Confidential Information, and to take all necessary measures to preserve its confidentiality, and in particular undertakes to ensure its permanent or temporary staff and its subcontractors who may have knowledge of the Confidential Information maintain its confidentiality.
15.3 Information is not considered as Confidential Information:
- when entered into the public domain before or after its disclosure, through no breach of confidentiality obligations;
- when already in the Customer's possession on the day of signature of these GTC;
- which the Customer has lawfully received from a third party, through no breach of the confidentiality;
- when developed by or for the Customer, independently of any access to Confidential Information
- when communicated in application of laws, regulations, court decisions, provided that the Customer informs ECENTIAL ROBOTICS thereof and that measures are previously taken to ensure maximum confidentiality of the information despite its communication.
15.4 The Customer is responsible for the respect of the present commitments by any natural or legal person, to whom it communicates the Confidential Information. These confidentiality undertakings are binding on the Customer for the entire duration of these GTC as well as for a period of three (3) years following the termination of use of the Product by the Customer for any reason whatsoever (scrapping, etc.).
16. Respect for personal data
16.1 Personal Data of the Parties' Employees
Within the framework of their contractual relations, the Parties undertake to comply with the regulations in force applicable to the processing of personal data and, in particular, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 applicable as of 25 May 2018 (hereinafter the "GDPR"). During the execution of the present GTC, the Parties may be led to transmit Personal Data (as defined by the GDPR) relating to persons respectively employed by them, regardless of their status (permanent, fixed-term, temporary, probationary, etc.) (herein the "Employees"). The Personal Data of Employees collected in the context of the present contractual relationship are subject to processing within the meaning of the GDPR.
Lors des échanges entre les Parties, une Partie pourra collecter des Données Personnelles de l’autre Partie, telles que : nom, prénom, fonction, email et téléphone du représentant légal et/ou d’Employés de l’autre Partie ;
Le traitement de ces Données Personnelles est nécessaire à
l’exécution des présentes CGV, conformément au RGPD.
Les Données Personnelles ainsi collectées sont destinées exclusivement à chaque Partie qui s’engage à ne pas les céder, louer ou transmettre à des tiers autres que des sociétés affiliées ainsi que des prestataires susceptibles d’intervenir pour le compte de chaque Partie dans l’exécution par les présentes CGV. Chaque Partie conserve les Données Personnelles pendant la durée de la relation contractuelle et commerciale. Les Données Personnelles des Employés feront ensuite l’objet d’un archivage par chaque Partie conformément au RGPD et/ou la législation nationale en vigueur.
Chaque Partie met en œuvre toutes les mesures techniques et organisationnelles appropriées au regard de la nature des Données Personnelles des Employés et des risques présentés par le traitement, pour préserver leur sécurité et leur confidentialité.
Les Données Personnelles des Employés sont susceptibles de faire l’objet d’un transfert hors de l’Union européenne vers les sociétés affiliées de chaque Partie, dans des conditions de sécurité et de confidentialité appropriées et
Conformément au RGPD, les Employés disposent d’un droit d’accès, de rectification, de limitation, d’effacement et de portabilité de leurs Données Personnelles.
Les Employés disposent également du droit d’introduire une réclamation auprès de la Commission Nationale de l’Informatique et des Libertés (CNIL) s’ils considèrent que le traitement opéré par l’autre Partie constitue une violation de leurs Données Personnelles.
Chaque Partie s’engage à informer ses propres Employés du traitement de leur Données Personnelles et de leurs droits dans le cadre dudit traitement.
Les droits des Employés du Client sur leurs Données Personnelles peuvent être exercés à tout moment auprès du Délégué à la Protection des Données ou de la personne référente sur les Données Personnelles de ECENTIAL ROBOTICS à l’adresse suivante : xxx@xxxxxxxx-xxxxxxxx.xxx. Afin que les Employés de ECENTIAL ROBOTICS puissent exercer leurs droits sur leurs Données Personnelles, le Fournisseur s’engage à communiquer à ECENTIAL ROBOTICS les coordonnées de son Délégué à la Protection des Données ou de la personne référente sur les Données Personnelles.
En revanche, l’exécution des présentes CGV nécessitant le traitement des Données Personnelles des Employés, les Employés sont informés qu’ils ne disposent pas du droit de s’opposer au traitement de leur Données Personnelles par l’autre Partie, sauf en cas de résiliation des présentes CGV.
16.2 Données Personnelles des patients du Client
ECENTIAL ROBOTICS respecte les Données Personnelles des patients du Client.
Le Client reconnait que ECENTIAL ROBOTICS peut être amenée à traiter des données pseudonymisées ou anonymisées de patients du Client, collectées par le biais du système ECENTIAL ROBOTICS, en vue d’une utilisation à des fins de recherche et développement ou dans une finalité d’amélioration des produits.
ECENTIAL ROBOTICS déterminera avec le Client, au fur et à mesure de ses propres besoins, les spécificités liées l’utilisation desdites données selon qu’il s’agit de données pseudonymisées ou anonymisées.
During the exchanges between the Parties, a Party may collect Personal Data from the other Party, such as the surname, first name, position, email and telephone number of the legal representative and/or Employees of the other Party;
The processing of this Personal Data is necessary for the execution of these GTC, in accordance with the GDPR. The Personal Data thus collected are intended exclusively for each Party, which undertakes not to transfer, rent or transmit them to third parties other than affiliated companies and service providers likely to intervene on behalf of each Party in the execution of these GTC. Each Party retains the Personal Data for the duration of the contractual and commercial relationship. The Personal Data of the Employees will then be archived by each Party in accordance with the GDPR and/or the national legislation in force.
Each Party shall implement all appropriate technical and organizational measures, having regard to the nature of the Employee Personal Data and the risks presented by the processing, to preserve its security and confidentiality. Employee Personal Data may be transferred outside the European Union to affiliated companies of each Party, under appropriate and adequate conditions of security and confidentiality, in accordance with the GDPR.
In accordance with the GDPR, Employees have a right of access, rectification, limitation, deletion and portability of their Personal Data.
Employees also have the right to file a complaint with the Commission Nationale de l'Informatique et des Libertés (CNIL) if they consider that the processing carried out by the other Party constitutes a violation of their Personal Data.
Each Party undertakes to inform its own Employees of the processing of their Personal Data and of their rights within the framework of such processing.
The rights of the Customer's Employees on their Personal Data can be exercised at any time by contacting the ECENTIAL ROBOTICS’s Data Protection Officer at the following address: xxx@xxxxxxxx-xxxxxxxx.xxx. In order for ECENTIAL ROBOTICS's Employees to be able to exercise their rights on their Personal Data, the Supplier undertakes to communicate to ECENTIAL ROBOTICS the contact details of its Data Protection Delegate or of the person in charge of the Personal Data.
However, as the execution of the present GTC requires the processing of the Employees' Personal Data, the Employees are informed that they do not have the right to oppose the processing of their Personal Data by the other Party, except in the event of termination of the present GTC.
16.2 Personal Data of the Customer's patients ECENTIAL ROBOTICS respects the Personal Data of the Customer's patients.
The Customer acknowledges that ECENTIAL ROBOTICS may process pseudonymized or anonymized data of the Customer's patients, collected through the ECENTIAL ROBOTICS system, for use in research and development or for the purpose of product improvement, or for transfer to ECENTIAL ROBOTICS’ subcontractors.
ECENTIAL ROBOTICS will determine with the Customer, according to its own needs, the specificities related to the use of the said data according to whether it is pseudonymized or anonymized data.
En toutes hypothèses, le Client s’engage à informer, et se porte fort de ce que ses préposés informent, les patients que leurs données pseudonymisées et/ou anonymisées peuvent être utilisées par ECENTIAL ROBOTICS dans le cadre des finalités ci-dessus énoncées et conformément aux dispositions du RGPD et de la Loi n° 78-17 du 6 janvier 1978 relative à l'informatique, aux fichiers et aux libertés modifiée. Par ailleurs le Client s’engage, et se porte-fort de ce que ses préposés s’engagent à tracer toute opposition qu’un patient viendrait à lui faire connaître quant à la réutilisation de ces données dans les finalités décrites ci-avant, selon les modalités pratiques définies par ECENTIAL ROBOTICS, afin que ECENTIAL ROBOTICS ne réutilise pas de données pour lesquelles un patient aurait manifesté son opposition. ECENTIAL ROBOTICS ne pourra être tenue, en aucune manière, responsable dans l’hypothèse où elle réutiliserait des données pour lesquelles un patient a manifesté son opposition au Client et/ou à ses préposés, le Client supportant seul cette responsabilité à l’égard de ses patients.
17. Utilisation de l’image des Produits
Toute diffusion d’images de Produits par le Client, quel que soit le support (site internet, affichage, presse, etc.), fera l’objet d’une autorisation écrite préalable de ECENTIAL ROBOTICS.
18. Droit applicable et juridiction
18.1 Les présentes CGV sont soumises au droit français, étant précisé que l’application de la Convention des Nations Unies sur les contrats de vente internationale de marchandises est expressément exclue.
18.2 A défaut d’accord amiable, tout différend relatif aux présentes CGV relèvera de la compétence exclusive des tribunaux compétents dans le ressort duquel est situé le siège social de ECENTIAL ROBOTICS, même en cas d'appel en garantie ou de pluralité de défendeurs.
19. Clause de divisibilité
Dans le cas où l’une quelconque des stipulations des présentes serait annulée par une autorité compétente, ladite stipulation serait simplement réputée non-écrite, toutes les autres stipulations conservant leur force entre les parties. et, dans la mesure où cela est permis et possible, la stipulation invalide ou inapplicable sera réputée remplacée par une disposition qui est valide et applicable et qui se rapproche le plus de l'expression de l'intention de cette stipulation invalide ou inapplicable.
20. Interprétation
Ces CGV sont rédigées en français ; la traduction en anglais n’est fournie qu’à titre d’information. En cas de litige, la version française des Conditions Générales de Vente prévaudra sur la traduction anglaise.

In any hypothesis, the Customer commits to inform, and is strong of what his employees inform, the patients that their pseudonymized and/or anonymized data can be used by ECENTIAL ROBOTICS or ECENTIAL
ROBOTICS’ subcontractors within the framework of the above mentioned purposes and in accordance with the provisions of the GDPR and the modified Law n° 78-17 of January 6, 1978 relating to data processing, files and freedoms. In addition, the Customer commits, and ensures its employees commit to trace any opposition made by a patient to the reuse of these data for the purposes described above, so that ECENTIAL ROBOTICS does not reuse data for which a patient has expressed opposition. ECENTIAL ROBOTICS cannot be held, in any way, liable for reusing data for which a patient has expressed opposition to the Customer and/or its employees, the Customer bearing the entire this responsibility with regards to its patients.
17. Use of Product Image
Any diffusion of images of Products by the Customer, whatever the support (website, display, press, etc.), will be subject to a prior written authorization of ECENTIAL ROBOTICS.
18. Applicable law and jurisdiction
18.1 These GTC are subject to French law, with the express exclusion of the application of the United Nations Convention on Contracts for the International Sale of Goods.
18.2 In the absence of amicable agreement, any dispute relating to the GTC will fall under the exclusive competence of the competent courts in the jurisdiction of which the registered office of ECENTIAL ROBOTICS is located, even in case of appeal in guarantee or plurality of defendants.
19. Severability clause
In the event that any provision hereof is set aside by a competent authority, such provision shall simply be deemed to be unwritten and all other provisions shall remain in full force and effect between the parties, and, to the extent permitted and possible, the invalid or unenforceable provision shall be deemed replaced by a provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable provision.
20. Interpretation
The CGV are in French; the English translation is for information only. In case of any litigation or dispute, the French version of the GTC will prevail over the English translation.
