Disposal of assets. The Borrower undertakes not to dispose of the whole or any substantial part of its business, undertaking or assets where such disposal would have a material adverse effect on its ability to meet its obligations under this Contract without prior written consent of the Bank, such consent not to be unreasonably witheld. For the purpose of this Article 6.07, ‘‘dispose" includes any act effecting sale, transfer, lease or assignment.
