Confidential Information shall include information disclosed by either party that is marked as confidential at the time of disclosure, Oracle materials, Data Set, the terms and conditions of the Agreement, and any other information or data shared by either party that, by its nature, should be considered to be confidential. Confidential Information shall not include any information that (a) is in or enters into the public domain other than as a result of disclosure by the receiving party or any third party to whom the receiving party disclosed such information;

However, written consent from the disclosing Party shall not be required in the event of disclosure of Confidential Information to authorized parties based on the provisions of applicable laws and regulations or on the existence of a court decision.
The Tenderer/Bidder shall indemnify and hold harmless the Employer from any action, claim or proceeding and all damage, losses, costs, expenses or other liabilities suffered or incurred by the Employer (including but not limited to legal fees and the cost of enforcing this indemnity) which would arise out of or resulting from any unauthorised use or disclosure of the Confidential Information or any other breach of any terms or obligation(s) by the Tenderer/Bidder under this Agreement.

Confidential Information means, with respect to SAP, all information which SAP protects against unrestricted disclosure to others, including but not limited to: (a) the Software and Documentation and other SAP Materials, including without limitation the following information regarding the Software:
