Appointment of Managing Sellers' Representative. The Managing Sellers hereby irrevocably appoint Xx. Xxx Xxxxxxxxxx, who accepts this appointment, as their attorney-in-fact ("mandataire" / "lasthebber") to give and receive all notices (but not to give any consent, to settle any dispute, to exercise any of the rights or to fulfill any obligation of the Managing Sellers under this Agreement). The attorney-in- fact shall not have any powers, however, in so far as a breach of the post- Closing covenants set out in Clause 8 are concerned.
