Common use of Audits Clause in Contracts

Audits. For the term of the agreement and for two years after it ends, KPN may have an audit performed by its internal auditors or by an independent auditor regarding the performance of the agreement by supplier, including the quality of the conduct of business by supplier, the quality of its business processes, the accuracy of reports and invoices, and legal and regulatory requirements and obligations under the agreement. Supplier shall provide its full cooperation in such an audit. When performing the audit, the auditor shall exercise all due care and shall act in accordance with professional auditing standards and without disrupting supplier’s business in an unreasonable manner.
