GENERAL CONDITIONS. 1. Except where otherwise agreed in writing, the legal relations between the parties are governed by the present General Conditions, the client declaring that he is aware of and has accepted the contents thereof, that take precedence over any of the client's own Purchase Conditions.

GENERAL CONDITIONS. TOS CREW B.V. TOS ENERGY B.V. Transport & Offshore Services (“TOS”) seconds her employees for the duration of a certain project, period or voyage. The entire legal relation between TOS and her Customer is covered by these General Conditions. The Customer shall vouch that Employees of TOS, working under its temporary authority, shall be treated equal to its own employees. As TOS is not present at the activities, nor is she informed in detail about the nature of the activities under the assigned agreement, TOS cannot exert any supervision and management the way the Customer can, TOS therefore transfers its liability as an employer to her Customer for any damage that her Employees may inflict upon themselves, the Customer or any third party in the execution of the activities. In this respect the Customer indemnifies TOS against any claims of third parties towards TOS, arising from, or to any extent related to activities carried out under the assigned agreement. TOS is related to the Customer as a contractor as described in section 7.7.1 of the Dutch Civil Code. XXX declares articles 7:404 and 7:407 section 2 of the Dutch Civil Code inapplicable. The first article is not related to the freedom of choice for TOS in seconding her personnel. The second article vests a joint and several liability when the assignment has been received by two or more persons, which involves a risk that is unacceptable for TOS.

GENERAL CONDITIONS. 1. The contract is subject to the Belgian Law. All disputes fall under the exclusive jurisdiction of the Leuven Court and the Justice of the peace of Aarschot. These general conditions are also drawn up in French and Dutch. The Dutch text shall always override in case of dispute. In case of one article being contrary to the law, only this article will be considered as void.
