Limitation of Sellers' Liability. 7.2.1 Time Limitations The Sellers shall not be liable under this Clause 7 in respect of any claim unless a notice of the claim is given by the Purchaser to the Sellers that satisfies the requirements of Section 2 of the Escrow Agreement within the earlier of (i) one year following the Closing Date or (ii) the date on which KPMG shall have delivered to the Purchaser the audited consolidated financial statements of the Purchaser for the year ending December 31, 2000.
