Loan. 1.1 Amount. KfW will extend to the Borrower a Loan not exceeding a total of (in words: seventeen million Euro) ("Loan").
1.2 Channelling and purpose of the Loan. The Borrower will use the Loan exclusively for the Programme to finance investment measures and (if necessary) expert services of up to EUR 700,000 to improve the provision of communal water supply and wastewater management in medium-sized towns / municipalities in the Republic of Serbia selected by the Borrower in consultation with KfW (each such town / municipality hereinafter referred to as “Municipality”, together as “Municipalities”). To this effect, the Borrower will channel the Loan in full to the Municipalities and their corresponding water and wastewater utilities (“Project Executing Agencies”, each a “Project Executing Agency”) on the conditions set forth in Article 2 and ensure that the channelled Loan amounts are used to finance investments and expert services in accordance with the Programme. Regarding the implementation of the Programme, the Borrower will act through the Ministry of Construction, Transport and Infrastructure.
1.3 The Borrower will ensure that both, the Municipalities and the Project Executing Agencies, will be jointly responsible for the implementation of the individual investment measures.
1.4 The Borrower, each Municipality, its respective Project Executing Agency and KfW will determine the details of the Programme, including the investment measures, supplies and services to be financed from the Loan, within each Municipality in separate agreements (hereinafter referred to as "Separate Agreements", each a “Separate Agreement”).
1.5 Taxes, charges, customs duties. Taxes and other public charges owed by the Borrower, any of the Municipalities or their Project Executing Agencies, as well as customs duties may not be financed from the Loan. In addition to the foregoing, the goods and services imported into the Republic of Serbia for the Programme shall be exempted from customs fees and the trade of goods, services and equipment for the Programme shall be exempted from VAT.

1.2 Purpose. The Borrower shall channel the Loan in full to selected municipalities (“Project-Executing Agencies”) in accordance with the conditions set forth in Article 2. The Borrower shall ensure that the Project-Executing Agencies will use the Loan exclusively to finance the promotion of energy efficiency in public buildings and associated measures (“Project”). The Borrower, in this respect represented by the Public Investment Management Office, acting as the Project coordinating agency ("Project Coordinating Agency"), and KfW will determine the details of the Project and the supplies and services to be financed from the Loan by a separate agreement ("Separate Agreement").
1.3 Taxes, charges, customs duties. Taxes and other public charges owed by the Borrower or the Project-Executing Agencies as well as customs duties may not be financed from the Loan. In addition to the foregoing, the goods and services imported into the Republic of Serbia for the Project shall be exempted from customs fees and the trade of goods, services and equipment for the Project shall be exempted from VAT.

The Borrower shall use the Loan exclusively to finance the project “Energy Efficiency in Public Buildings” including the energy efficient retrofitting of public buildings ("Project") and consulting services for the implementation of the Project. The Borrower represented by the Ministry of Education, Science and Technological Development (“MoES”) acting as project executing agency (the "Project Executing Agency"), the Ministry of Finance (“MoF”), the Ministry of Mining and Energy (“MoME”) and KfW will define the details of the Project as well as the goods and services to be financed from the Loan in a separate agreement to this Loan Agreement (“Separate Agreement”).

To this end, the Borrower shall channel the Loan in full, except for the costs for the Engineering Services in the estimated amount of EUR 700,000.00, to the Program-Executing Agencies in accordance with the conditions set forth in Article 2 and ensure that the Program-Executing Agencies will use the Loan exclusively to finance the Investments. The Borrower, through the Ministry of Finance (“MoF”) and the Ministry of Mining and Energy (ʺMoMEʺ), and KfW will determine the details of the Program and the supplies and services to be financed from the Loan by a separate agreement ("Separate Agreement").
1.3 Taxes, charges, customs duties. Taxes and other public charges owed by the Borrower or the Program-Executing Agencies as well as customs duties will not be financed from the Loan.
1.4 Tax exemption. Taxes, import duties and other levies cannot be financed out of the Program Funds. The goods and services imported into the Republic of Serbia for the Program shall be exempted from customs fees and the trade of goods, services and equipment for the Program shall be exempted from VAT.

The Borrower, in this respect represented by the Ministry of Mining and Energy, acting as the Program coordinating agency (the "Program Coordinating Agency”), and KfW will determine the details of the Program and the supplies and services to be financed from the Loan by a separate agreement ("Separate Agreement”).

1.2 Purpose. The Borrower shall channel the Loan in full to selected municipalities (the “Project-Executing Agencies” and each a “Project-Executing Agency”) in accordance with the conditions set forth in Article 2. The Borrower shall ensure that each Project-Executing Agency will use the Loan exclusively for financing measures to promote energy transition in public buildings and associated measures („Project”). The Borrower, in this respect represented by the Ministry for Public Investments, acting as the Project coordinating agency (the „Project Coordinating Agency”), and KfW will determine the details of the Project and the supplies and services to be financed from the Loan by a separate agreement („Separate Agreement”).
1.3 Taxes, charges, customs duties. Taxes and other public charges owed by the Borrower as well as customs duties will not be financed from the Loan. In addition to the foregoing, the goods and services imported into the Republic of Serbia for the Project shall be exempted from customs fees and the trade of goods, services, and equipment for the Project shall be exempted from value added tax.

The Borrower, in this respect represented by the Ministry of Mining and Energy (“MoME”), acting as the Project executing agency ("Project Executing Agency" or "PEA"), and KfW will determine the details of the Project and the supplies and services to be financed from the Loan by a separate agreement ("Separate Agreement").

1.4 The goods and services imported into the Republic of Serbia for the Pro- gramme Water Supply and Wastewater Treatment in Medium-Sized Munici- palities in Serbia III shall be exempted from customs duties. All goods and services procured under the Programme Water Supply and Wastewater Treatment in Medium-Sized Municipalities in Serbia III and paid out of the Programme Funds shall also be exempted from VAT.
1.5 The Borrower will ensure that each Municipality participating in the Pro- gramme Water Supply and Wastewater Treatment in Medium-Sized Munici- palities in Serbia III will not be subject to possible transfer reduction from the Republican budget in case of adjustment of water and wastewater tariffs ac- cording to the requirements of the Programme Water Supply and Wastewa- ter Treatment in Medium-Sized Municipalities in Serbia III.
