This study has been carried out through documentary research. It has found that in bringing Civil and Commercial Code and the Trademark Act apply to the trademark license agreement under the franchise agreement is insufficient. As those laws do not cover the liability under the sub-franchise agreement and unlike the United States. Thailand has no specific law on franchising. So, there is uncertainty in determining liability. The pending question is what law should be applied to the matters. If the sub-franchisee causes harm to trade reputation or legal action are brought by consumer of the franchisor or sub-franchisor; what would be the legal measure to bail them out. There should be a supervision of the sub- franchise agreement to guarantee the proper use of it and to extenol sufficient protection and remedy to the affected persons.
