01(c). Section 2.01(C) of the DLA is hereby deleted in its entirety and replaced with the following:
01(c). Each Request for Credit Extension (other than a Committed Loan Notice requesting only a conversion of Committed Loans to the other Type or a continuation of LIBOR Loans) submitted by the Borrower shall be deemed to be a representation and warranty that the conditions specified in Sections 5.02(a), (b), and (d) have been satisfied on and as of the date of the applicable Credit Extension.
01(c). The Borrower further authorizes and shall cause the Borrower’s counsel to file, without the Borrower’s signature, UCC- 1 financing statements that names the Borrower as debtor and the Collateral Agent as secured party and that describes “all assets in which the debtor now or hereafter has rights” as the Collateral in which the Collateral Agent has a grant of security hereunder and any amendments or continuation statements that may be necessary or desirable.
01(c). Failure to obtain the required licenses within the required timetable will result in termination of employment.
01(c). The seniority of a full-time or part-time probationary employee who has completed his/her probation period to the satisfaction of the Employer will be dated from the first day of the probationary period which is the first day of continuous full-time or part-time work as appropriate;
01(c). Each Lender and the L/C Issuer shall indemnify the Borrower, and shall make payment in respect thereof, within 10 days after demand therefor, for any amount that such Borrower is required to pay to the Administrative Agent pursuant to the immediately preceding sentence.
01(c). The Non-Operating Owner agrees that it has a duty to mitigate any damages and shall use Commercially Reasonable Efforts to minimize any damages it may incur as a result of the Operator’s failure to perform or breach of any of its covenants or obligations under this Agreement.
01(c). The Borrower further authorizes the Administrative Agent or its counsel to file, without the Borrower’s signature, UCC- 1 financing statements that name the Borrower as debtor and the Administrative Agent as secured party and that describe “all assets in which the debtor now or hereafter has rights” as the Collateral in which the Administrative Agent has a grant of security hereunder and any amendments or continuation statements that may be necessary or desirable.
01(c). The agreements in this paragraph (ii) shall survive the resignation and/or replacement of the Administrative Agent, any assignment of rights by, or the replacement of, a Lender, the termination of the Commitments and the repayment, satisfaction or discharge of all other obligations.
01(c). Will be called for work via Section 16 of the Casual Addendum. Will NOT be called for work in ADDITION to the Temporary Full-Time work schedule – considered to be working Full-Time hours for the duration of the temporary posting and any ADDITIONAL hours of work would be at overtime rates of pay. Full-Time employee in Temporary Part-Time Posted Position: Remains at FULL-TIME STATUS. Will be called for worked via Article 15.01c. Will NOT be called for work via the Casual Addendum – registration for work via the Casual Addendum is limited to Casual and Part-Time employees. Casual employee in Temporary Full-Time Posted Position: Remains at CASUAL STATUS. Will NOT be called for worked via Article 15.01c – registration for work via 15.01c is limited to Full-Time and Part-Time employees. Will NOT be called for work in ADDITION to the Temporary Full-Time work schedule – considered to be working Full-Time hours for the duration of the temporary posting and any ADDITIONAL hours of work would be at overtime rates of pay. Casual employee in Temporary Part-Time Posted Position: Remains at CASUAL STATUS. Will be called for work via the Casual Addendum EXCEPT Section 16 – registration for work via Section 16 of the Casual Addendum is limited to Part-Time employees. Will NOT be called for worked via Article 15.01c – registration for work via 15.01c is limited to Full-Time and Part-Time employees.
