ABL Amendment. The Term Administrative Agent shall have received a fully executed copy of the second amendment to the ABL Loan Agreement with substantially similar amendments to this Amendment and otherwise in form and substance acceptable to the Term Administrative Agent.
ABL Amendment. The Administrative Agent shall have received a duly executed amendment to the ABL Credit Agreement, which shall be in form and substance reasonably acceptable to the Administrative Agent, and which shall be in full force and effect, contemporaneously with the effectiveness of this Agreement.
ABL Amendment. The ABL Facility Documentation shall have been amended in a manner reasonably satisfactory to the Administrative Agent and the Arrangers.
ABL Amendment. Attached hereto as Exhibit D is a true, correct and complete copy of the ABL Amendment, which has not been (and is not currently being contemplated as of the Fourth Amendment Effective Date to be) amended, restated, supplemented, changed or otherwise modified in any manner.
ABL Amendment. The amendment to that certain Amended and Restated Credit Agreement, dated as of September 30, 2016 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “ABL Credit Agreement”) extending the maturity date therein to February 14, 2025 shall have been executed substantially simultaneously with this Amendment.
ABL Amendment. (i) An amendment to the ABL Credit Agreement shall have been entered into, shall be in form and substance satisfactory to the Administrative Agent, and shall become effective substantially concurrently herewith (the “ABL Amendment”), and (ii) the ABL Loan Documents shall be in full force and effect and no default or event of default shall exist under the ABL Loan Documents, or would result from the consummation of the transactions contemplated hereby (including the incurrence of the First Amendment Term Loan made on the First Amendment Effective Date).
ABL Amendment. The Term Administrative Agent shall have received a fully executed copy of the first amendment to the ABL Loan Agreement, (a) amending the definition of “Fixed Charge Trigger Period” and (b) amending the definition of “Borrowing Base” to include the lesser of (i) 100% of the amount of any Acceptable Letter of Credit (as defined in the ABL Loan Agreement) and (ii) $30,000,000 and otherwise in form and substance acceptable to the Term Administrative Agent.
ABL Amendment. At the Closing Date, the ABL Amendment shall have been consummated in all material respects on terms and conditions described in the Pricing Disclosure Package and the Final Offering Memorandum.
ABL Amendment. The Term Administrative Agent shall have received a fully executed copy of the fourth amendment to the ABL Loan Agreement with substantially similar amendments to this Amendment and otherwise in form and substance acceptable to the Term Administrative Agent.
ABL Amendment. Notwithstanding any of the restrictions set forth in the Loan Documents, each of the undersigned hereby acknowledges and consents to the execution, delivery and performance of the ABL Amendment and the amendments and modifications to the ABL Credit Agreement effected by the ABL Amendment.
