Absence of Required Consents or Contractual Restrictions. No consent or approval which has not been obtained is required to be obtained in connection with the execution and delivery of this Agreement or the performance of the transactions contemplated hereby. No contract or agreement by which the Parties are bound will restrict their ability to fulfill their obligations and responsibilities under this Agreement or any related agreement or to carry out the activities contemplated herein.
