Absence of Restrictions Upon Disclosure and Competition. (a) The Executive hereby represents that, except as the Executive has disclosed in writing to the Employer on Exhibit A attached hereto, the Executive is not bound by the terms of any agreement with any previous employer or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of the Executive's employment with the Employer or to refrain from competing, directly or indirectly, with the business of such previous employer or any other party.
(b) The Executive further represents that the Executive's performance of all the terms of this Agreement and as an employee of the Employer does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by the Executive in confidence or in trust prior to his employment with the Employer, and the Executive will not disclose to the Employer or induce the Employer to use any confidential or proprietary information or material belonging to any previous employer or others.
Absence of Restrictions Upon Disclosure and Competition. 3.1 I hereby represent that, except as I have disclosed in writing to the Company, and included in Schedule A to this Agreement, I am not bound by the terms of any agreement with any previous employer or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of my engagement with the Company or to refrain from competing, directly or indirectly, with the business of such previous employer or any other party.
3.2 I further represent that my performance of all the terms of this Agreement and my engagement with of the Company does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by me in confidence or in trust prior to my engagement with the Company, and I will not disclose to the Company or induce the Company to use any confidential information or material belonging to any previous employer or others.
Absence of Restrictions Upon Disclosure and Competition. 7.1 The Employee represents that, except as has been disclosed in writing to the Company, he is not bound by the terms of any agreement with any previous employers or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of his employment with the Company or to refrain from such competing, directly or indirectly, with the business of such previous employer or any other party.
7.2 The Employee further represents that his performance of all the terms of this Agreement and as an employee of the Company does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by him in confidence or in trust prior to his employment with the Company, and will not disclose to the Company or induce the Company to use any confidential or proprietary information or material belonging to any previous employer or others.

Employee represents that, except as has been disclosed in writing to the Company, Employee is not bound by the terms of any agreement with any previous employers or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of Employee's employment with the Company or to refrain from such competing, directly or indirectly, with the business of such previous employer or any other party.
7.2. Employee further represents that Employee's performance of all the terms of this Agreement does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by Employee in confidence or in trust prior to Employee's employment with the Company, and Employee will not disclose to the Company or induce the Company to use any confidential or proprietary information or material belonging to any previous employer.

The Employee represents that his performance of all the terms of this Agreement does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by him in confidence or in trust prior to the date of this Agreement, and he will not disclose to the Company or induce the Company to use any confidential or proprietary information or material belonging to any previous Company or others.
Absence of Restrictions Upon Disclosure and Competition. The Employee represents that his performance of all the terms of this Agreement does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by him in confidence or in trust prior to the date of this Agreement, and he will not disclose to the Company or induce the Company to use any confidential or proprietary information or material belonging to any other Company or other entity. Employee represents that he will not hire any new employees of the Company in violation of any agreement which is binding on the Employee.
Absence of Restrictions Upon Disclosure and Competition a. The Advisor hereby represents that, except as he has disclosed in writing to the Company, he is not bound by the terms of any agreement with any previous employer or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of the performance of services for the Company or to refrain from competing, directly or indirectly, with the business of such previous employer or any other party.
b. The Advisor further represents that his performance of all the terms of this Agreement and as a advisor for the Company does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by the Advisor in confidence or in trust prior to my employment with the Company, and he will not disclose to the Company or induce the Company to use any confidential or proprietary information or material belonging to any previous employer or others.
Absence of Restrictions Upon Disclosure and Competition. BJ agrees not to disclose improperly to the Company any confidential information that BJ has acquired from others prior to being employed by the Company. In addition, BJ represents that, except as disclosed otherwise in writing to the Company, (i) BJ is not bound by any agreement with any previous employer or other party to refrain from using or disclosing any trade secret or other confidential or proprietary information which needs to be disclosed or used by BJ in the course of BJ's employment with the Company or to refrain from competing, directly, or indirectly, with the business of such previous employer or other party and (ii) BJ's performance of all the terms of this Agreement as an employee of the Company does not and will not breach any agreement to keep confidential any information, knowledge or date acquired by BJ in confidence or trust prior to BJ's employment with the Company.
Absence of Restrictions Upon Disclosure and Competition. The Employee represents and warrants that: (i) his/her performance of all of the terms of this Agreement and as an employee of the Company does not and will not breach any agreement to (A) keep in confidence proprietary information or trade secrets acquired by him/her in confidence or in trust prior to his/her employment by the Company, or (B) refrain from competing, directly or indirectly, with the business of any previous employer or other party; (ii) the Employee has returned all documents and materials belonging to any of his/her former employers; (iii) the Employee will not disclose to the Company or induce any of the Company's employees to use proprietary information or trade secrets of any of his/her former employers; and (iv) the Employee has not entered into, and hereby agrees that he/she will not enter into, any agreement either written or oral in conflict herewith.

The Executive hereby represents that, except as the Executive has disclosed in writing to the Employer on Exhibit A attached hereto, the Executive is not bound by the terms of any agreement with any previous employer or other party to refrain from using or disclosing any trade secret or confidential or proprietary information in the course of the Executive’s employment with the Employer or to refrain from competing, directly or indirectly, with the business of such previous employer or any other party.
