Common use of Access to Software Clause in Contracts

Access to Software. UA is the developer and owner of, or has rights to, certain enterprise mobile device tracking and messaging software known as “Polaris™”, “Vehicle Diagnostics”, and “RFID Tracking” and related content to be provided to Client; such software, its related content and any related documentation provided by UA, and the means used to provide the software to Client and the services described herein are collectively referred to as the “Service”. Subject to Client’s payment of the applicable fees and Client's compliance with the terms of this Service Agreement, Client, its affiliates and its and their employees (“Licensed Users”) shall have the right to access and use the Service solely for Client’s and its affiliates’ internal business purposes. UA will issue to one Licensed User (“Client Administrator”) an individual login identifier and password (“Administrator Login”) for purposes of administering the Service. Using the Administrator's Login, the Client Administrator shall assign each Licensed User a unique login identifier and password (“User Login”) and provide such information to the Licensed Users and UA via the Service. Client shall not provide a User Login to any individual or entity that is not a Licensed User to use the Service. Client shall be responsible to ensure, by written agreement or otherwise, that each Licensed User will: (a) be responsible for the security and/or use of his or her User Login; (b) not disclose such login identifier or password to any person or entity; (c) not permit any other person or entity to use his or her User Login; (d) use the Service only in accordance with the terms and conditions of this Service Agreement and on the workstation software from which the Service is accessed. UA shall have the right to deactivate, change and/or delete User Logins of Licensed Users who have violated this Service Agreement and to deny or revoke access to the Service, in whole or in part, if UA reasonably believes Client and/or its Licensed Users are in material breach of this Service Agreement. Client shall be solely responsible for ensuring that the access to the Service by a Licensed User who ceases to be an employee of Client or one of its affiliates is terminated. UA shall have no responsibility for managing, monitoring, and/or overseeing Client’s and its Licensed Users' use of the Service. Client acknowledges that the Service may contain devices to monitor Client’s compliance with the terms and restrictions contained herein and Client’s obligations hereunder.

Access to Software. UA Bloorcom has used an open source code software (the “Original Software”) for its development of, and is the developer and owner of, or has rights to, certain enterprise mobile device tracking web-based software (the “Software”) and messaging software known as “Polaris™”, “Vehicle Diagnostics”, and “RFID Tracking” and related content to be provided to Clientcustomers over the internet in accordance with the specifications attached hereto as Schedule A; such softwareSoftware, its related content and any related documentation provided by UABloorcom, and the means used to provide the software Software to Client customers and the services described herein are collectively referred to as the “Service”. Subject to ClientCustomer’s payment of the applicable fees set forth in the “Bloorcom Payment Schedule” and ClientCustomer's compliance with the terms of this Service Agreement, ClientCustomer, its affiliates subsidiaries, and affiliates, its and their employees (“Licensed Users”) shall have the right to access and use the Service solely for ClientCustomer’s and its affiliatessubsidiaries’ internal and affiliates E-commerce business purposes. UA Customer’s clientele shall have the right to access and use the service solely for the sale of Customer’s, subsidiaries’, and affiliates’ goods and services. Bloorcom will issue to one Licensed User (“Client Customer Administrator”) an individual login logon identifier and password (“Administrator LoginLogon”) for purposes of administering the Service. Using the Administrator's LoginLogon, the Client Customer Administrator shall assign each Licensed User a unique login logon identifier and password (“User Login”) and provide such information to the Licensed Users and UA Bloorcom via the Service. Client Customer shall not provide a User Login to permit any individual or entity that is not a Licensed User to use the Service. Client Customer shall be responsible to ensure, by written agreement or otherwise, that each Licensed User will: (a) be responsible for the security and/or use of his or her User Loginlogon identifier and password; (b) not disclose such login logon identifier or password to any person or entity; (c) not permit any other person or entity to use his or her User Loginlogon identifier or password; (d) use the Service only in accordance with the terms and conditions of this Service Agreement and on the workstation software web site from which the Service is accessed. UA Bloorcom shall have the right right, in its sole discretion, to deactivate, change and/or delete User Logins passwords of Licensed Users who have violated this any such terms or conditions or are otherwise using or accessing the Service Agreement in a manner inconsistent with such terms and to deny conditions. Customer shall also be responsible for any and all costs and expenses incurred through the use of each Licensed User's logon identifier and password and for any access or revoke use of the Service by Customer or any person or entity using a password, whether or not such access to the Service, in whole or in part, if UA reasonably believes Client and/or its Licensed Users are in material breach of this Service Agreementuse has been authorized by Customer. Client Customer shall be solely responsible for ensuring that the access to the Service by a Licensed User who ceases to be is no longer an employee of Client Customer or one an affiliate of its affiliates Customer is terminated. UA Bloorcom shall have no responsibility for managing, monitoring, and/or overseeing Client’s Customers and its Licensed Users' use of the Service. Client Customer acknowledges that the Service may contain devices to monitor ClientCustomer’s compliance with the terms and restrictions contained herein and ClientCustomer’s obligations hereunder.
