Access to Withdrawals. The Agent shall honor instructions received from the Borrower in the form of a Notice of Withdrawal and consented to by the DebtorsFinancial Advisor and acknowledged by the Initial Lenders’ Financial Advisor unless and until directed otherwise in writing by the Required Lenders (x) that one or more conditions precedents to the Withdrawal have not been satisfied or (y) during the continuance of a Default or an Event of Default. On and after the date of receipt by the Agent of a Withdrawal Termination Notice, the Borrower and the other Loan Parties shall have no right to request Withdrawals from the DIP Term Priority Account and the Agent shall not honor such requests. Notwithstanding anything herein to the contrary, (A) Agent shall have a reasonable opportunity (but in no event more than one (1) Business Day following receipt of such written direction by the Required Lenders or Withdrawal Termination Notice) to comply with such written direction or Withdrawal Termination Notice and (B) the Agent shall not be liable for (i) any disbursements made pursuant to instructions from the Borrower and consented to by the Debtors’ Financial Advisor and acknowledged by the Initial Lenders’ Financial Advisor or (ii) irrevocable electronic funds transfers or wire transfers that are subject to cut-off times, in each case, that were processed on or prior to one (1) Business Day after receipt of a written direction by the Required Lenders or a Withdrawal Termination Notice.

  • Withdrawals Each of the Members does hereby covenant and agree that it will not withdraw, resign, retire or disassociate from the Company, except as a result of a Transfer of its entire Interest in the Company permitted under the terms of this Agreement and that it will carry out its duties and responsibilities hereunder until the Company is terminated, liquidated and dissolved under Section 13. No Member shall be entitled to receive any distribution or otherwise receive the fair market value of its Interest in compensation for any purported resignation or withdrawal not in accordance with the terms of this Agreement.

  • No Withdrawal No Person shall be entitled to withdraw any part of such Person’s Capital Contribution or Capital Account or to receive any Distribution from the Company, except as expressly provided in this Agreement.
