Access to Xxxxx. Assignor shall have access to any well drilled by Assignee on the land covered by the lease and shall have the privilege of witnessing all tests and operations conducted on or in connection with any such well. On written request of Assignor, Xxxxxxxx agrees to furnish Assignor with copies of logs and reports obtained or prepared in connection with any well drilled on the land covered by the lease.
Access to Xxxxx. Xxxxxx shall have access to any well on the Xxxxxxx Property and shall have the privilege of witnessing all tests and operations conducted on or in connection with any such well. On written request of Xxxxxx, Quest agrees to furnish Xxxxxx with copies of logs and reports obtained or prepared in connection with any well drilled on the land covered by the 2004 Xxxxxxx Lease.
Access to Xxxxx. Until the Closing, Xxxxx shall afford to the Company and the Securityholders, their counsel, accountants and other representatives, reasonable access during normal business hours to the plants, offices, warehouses, properties, books and records of Xxxxx and its subsidiaries in order that the Company and the Securityholders may have full opportunity to make such investigations as they shall desire to make of the affairs of Xxxxx; and Xxxxx will cause its officers and accountants to furnish such additional financial and operating data and other information as the Company or the Securityholders shall from time to time reasonably request; provided, however, that any such investigation shall be conducted in such a manner as not to interfere with the operation of the business of Xxxxx. The Company's independent investigation of the business of Xxxxx shall not relieve, release or otherwise constitute a waiver of Xxxxx' liability and obligations to the Securityholders for breach of Xxxxx' warranties and representations in this Agreement and to make true and complete disclosure to the Company and the Securityholders, except to the extent that the Company or the Securityholders had actual knowledge of any such breach as a result of such independent investigation. <PAGE> 48
