Accounting and Documentation. Operator shall provide full bookkeeping and accounting (including tax accounting) services to Owner and shall, upon request by Owner, prepare (for signature by Owner) and submit all necessary accounting and (subject to Section 6.7 of the LLC Operating Agreement) tax documentation, certifications, filings and notices required to be submitted by Owner pursuant to the Facility Documents or Applicable Law. Nothing in this Section 2.2(g) shall give Operator the right to use any accounting firm other than those indicated in Section 6.5 of the LLC Operating Agreement with respect to the preparation of audited financial statements and Section 6.7 of the LLC Operating Agreement with respect to preparation and filing of tax returns.

Manager shall provide or manage the provision of full accounting services, including, without limitation: (i) preparation of trial balances, (ii) providing periodic and ad hoc management reports and other reports, (iii) defining and maintaining a general ledger structure, (iv) creating and implementing accounting procedures and overseeing research with respect to accounting matters, (v) implementing and maintaining billing and collections procedures in respect of all accounts receivable and other amounts due the Owners under the Project Documents and render invoices as required under the Project Documents, and (vi) providing payables and purchase accounting services. Manager shall cause financial statements relating to the Projects and each Owner to be prepared and delivered in the forms and at the times required by the Credit Agreement and the Chapter 11 Cases. Manager shall prepare such other reports, notices of events, occurrences and conditions and certificates for the Owner’s execution as are required by the Loan Documents, the Project Documents and the Chapter 11 Cases and shall coordinate the execution and delivery of such reports, certificates and notices to those Persons required by the Loan Documents, the Project Documents and the Chapter 11 Cases. Manager shall oversee any compliance requirements set forth in the Loan Documents and the Project Documents for services that in the ordinary course are typically performed by third party professionals. In the preparation of such financial reports, Manager shall be entitled to rely on the accuracy and completeness of any financial and operations information provided to it by or on behalf of the Owners by any other third-party provider. Manager shall retain all books and records in a safe, secure and proper manner in accordance with the Owners’ record retention policies.
