Common use of Acquisition, Sale and Maintenance Clause in Contracts

Acquisition, Sale and Maintenance. No Loan Party shall acquire or accept any Inventory which is part of the Term Loan Borrowing Capacity on consignment or approval. Other than as set forth in Schedule 8.3.3, no Loan Party shall sell any Inventory on consignment or approval in which such Loan Party acts as consignor unless otherwise expressly permitted by the Agents in their sole discretion. The Loan Parties shall use, store and maintain all Inventory with reasonable care and caution, in accordance with applicable standards of any insurance and in conformity with all Applicable Law, and shall make current rent payments (within applicable grace periods provided for in leases) at all locations where Collateral is located, stored, used or held.

Other than as set forth in Schedule 8.3.3, no No Loan Party shall sell any Inventory on consignment or approval in or any other basis under which such the customer may return or require a Loan Party acts as consignor unless otherwise expressly permitted by the Agents in their sole discretionto repurchase such Inventory. The Loan Parties shall use, store and maintain all Inventory with reasonable care and caution, in accordance with applicable standards of any insurance and in conformity with all Applicable Law, and shall make current rent payments (within applicable grace periods provided for in leases) at all locations where any Collateral is located, stored, used or held.
