Act of God, etc. In the event the Fairbury Area Chamber of Commerce is delayed, rescheduled, or cancelled due to circumstances beyond control of Fairbury Area Chamber of Commerce Promoter, including but not limited to an act of God, war, not sovereign conduct, catastrophic event, natural disasters or the conduct of third parties, that this agreement remains in full force and effect during any delay or as rescheduled, and shall terminate if cancelled, with all sums paid by Fairbury Area Chamber of Commerce Promoter refunded. Sever-ability: If any clause of the Contract Agreement and its Terms & Conditions are found to be invalid or unenforceable, the remainder of the agreement shall continue in full force and effect without regard to the invalidated clause. Grand Prize(s): Grand prizes will be distributed to attendees of the Fairbury Area Chamber of Commerce Bridal Show by the show vendors in the form of a certificate or goods of a $50 value. Vendor will pay directly to the winners. Winners of certificate and services must agree to redeem before January 26th, 2020, and subject to the availability of the vendor. This document may be used only by permission of Fairbury Area Chamber of Commerce promoter and may not be reproduced or redistributed without the written consent of Fairbury Area Chamber of Commerce.

Act of God, etc apply to damage caused by fire, flood, earthquake, earth subsidence, xxxxx, xxxxxxx, act of God or inevitable accident unless the Licensee’s act or omission has caused insurance proceeds to be unavailable which, but for the act or omission, would have been available towards the cost of making good the damage.
Act of God, etc. The Distributor shall not be liable for any delays or errors occurring by reason of circumstances not reasonably foreseeable and beyond its control, including but not limited to acts of civil or military authority, national emergencies, work stoppages, fire, flood, catastrophe, acts of God, insurrection, war, riot or failure of communication or power supply. In addition, in the event of equipment breakdowns which are (i) beyond the reasonable control of the Distributor and (ii) not primarily attributable to the failure of the Distributor to reasonably maintain or provide for the maintenance of such equipment, the Distributor shall, at no additional expense to the Fund, take reasonable steps in good faith to minimize service interruptions but shall have no liability with respect thereto.

  • Epidemic Failure The term “Epidemic Failure” means Product deficiencies resulting from defects in material, workmanship and/or manufacturing process that are in excess of one percent (1%) of the total number of Products shipped during any rolling six (6) month period.

  • Labor Difficulties There is no labor strike, slowdown, stoppage or lockout actually pending, or, to the knowledge of the Company, threatened against the Company or any of the Company Subsidiaries.   • Unavoidable Delays Delays due to acts of God, acts of public agencies, labor disputes, strikes, fires, freight embargoes, inability (despite the exercise of due diligence) to obtain supplies, materials, fuels or permits, or other causes or contingencies (excluding financial inability) beyond the reasonable control of Landlord or Tenant, as applicable. Landlord shall use commercially reasonable efforts to provide Tenant with prompt notice of any Unavoidable Delays.

  • No Release; Return or Destruction Each Party agrees not to release or disclose, or permit to be released or disclosed, any information addressed in Section 6.9(a) to any other Person, except its Representatives who need to know such information in their capacities as such (who shall be advised of their obligations hereunder with respect to such information), and except in compliance with Section 6.10. Without limiting the foregoing, when any such information is no longer needed for the purposes contemplated by this Agreement or any Ancillary Agreement, and is no longer subject to any legal hold or other document preservation obligation, each Party will promptly after request of the other Party either return to the other Party all such information in a tangible form (including all copies thereof and all notes, extracts or summaries based thereon) or notify the other Party in writing that it has destroyed such information (and such copies thereof and such notes, extracts or summaries based thereon); provided, that the Parties may retain electronic back-up versions of such information maintained on routine computer system backup tapes, disks or other backup storage devices; provided further, that any such information so retained shall remain subject to the confidentiality provisions of this Agreement or any Ancillary Agreement.
