Common use of Actions on Termination, Cancellation, or Expiration Clause in Contracts

Actions on Termination, Cancellation, or Expiration. Upon termination of this Agreement with or without cause pursuant to Sections 4.2 and 4.3 above, its cancellation pursuant to Section 5.1 below, or its expiration in the case of a limited term license, all licenses granted herein shall immediately terminate. Upon either termination of this Agreement or expiration of a limited term license governed by this Agreement, Licensee shall immediately (a) discontinue any and all use of the Software, (b) uninstall and destroy any and all physical or electronic copies of the Software, and (c) deliver written certification, executed by an officer of Licensee, stating that Licensee has complied with this section, to Licensor within twenty (20) days of such termination, cancellation, or expiration. Except as expressly set forth in Section 5 below, under no circumstances shall Licensee be entitled to any refund or return of fees upon termination, cancellation, or expiration of this Agreement.
