Additional Arranger. The parties hereby acknowledge the appointment of Citizens Bank, N.A. as a joint lead arranger in respect of the arrangement and syndication of the Commitments made available on the Fourth Amendment Effective Date.

Except as set forth in the Amendments, you agree that no other agents, co-agents, arrangers, bookrunners, managers or co-managers will be appointed, no other titles will be awarded and no compensation (other than compensation expressly contemplated by this Fee Letter) will be paid to any Lender by you or any of your subsidiaries or affiliates in order to obtain its commitment to participate in the First Amendment Term Loans unless you and we shall so reasonably agree. It is further agreed that (a) Xxxxx will have “left” placement on any marketing materials or other documentation used in connection with the First Lien Facilities and will have the rights and responsibilities customarily associated with such name placement and (b) Macquarie Capital (USA) Inc. will have “right” placement on any marketing materials or other documentation used in connection with the First Lien Facilities and will have the rights and responsibilities customarily associated with such name placement.
