Additional Conditions Precedent to Initial Borrowing. The Initial Borrowing made by the Lenders to the Borrower shall be subject to the further conditions precedent that on or before the date of such Borrowing (a) the Program Agent shall have received a report of a firm of nationally recognized independent certified public accountants on the application of the agreed upon procedures which report shall be in form and substance satisfactory to the Program Agent, in its sole discretion, (b) the Program Agent shall have received a written confirmation from DBRS that the Notes have a rating of AA, (c) the Program Agent shall have received the Fees, if any, that are required to be paid pursuant to the Fee Letter on or prior to the date of the Initial Borrowing, and (d) the Program Agent shall have received each of the documents, instruments, legal opinions and other agreements listed on Exhibit G under the heading “INDENTURE CONSENTS”.
