Additional Investment Options. (a) If, during the period between the date hereof and the date that is 18 months from the date hereof, in addition to the funds received pursuant to the Subscription Agreement, the Company reasonably determines that it requires an additional $900,000 to fund its working capital, then, at any time following such determination, at the Purchaser’s election in its sole discretion, within five (5) Business Days after the date of the Purchaser’s written notification to the Company of such election (or on any other date agreed by the Purchaser and the Company), the Company shall sell and issue to the Purchaser, and the Purchaser shall have the first right to purchase from the Company (i) 30,000,000 shares of Preferred Stock, and (ii) a warrant to purchase 30,000,000 shares of Common Stock with an initial exercise price of twelve cents ($0.12) and otherwise on terms consistent with those provided in the Warrants (or such lesser amount of shares of Preferred Stock and warrants exercisable for shares of Common Stock as determined in the sole discretion of the Purchaser), and in exchange therefor, the Purchaser shall pay cash in the amount per share of Preferred Stock (together with a corresponding warrant exercisable for one share of Common Stock to the Company) that is the lower of (A) three cents ($0.03) or (B) 90% of the prevailing market price per share of Common Stock or Common Stock Equivalents at the time of such issuance or sale (which, as long as the Common Stock is listed, shall be the closing price on the last trading day prior to such issuance or sale of the Common Stock as traded on a national securities exchange, the NASDAQ Global Market, the NASDAQ Capital Market, or another nationally recognized trading system (including Pink OTC Markets, Inc.) by wire transfer of immediately available funds to a bank account designated in writing by the Company to the Purchaser.

Additional Investment Options. (a) Notwithstanding anything contained in any Section of this Plan to the contrary, a Participant may elect, either prior to any Plan Year, so long as such date is at least ninety (90) days prior to the earliest date in which a participant would otherwise be eligible to receive benefits under the Plan, or within thirty (30) days after the effective date of this Amendment to the Plan, to have SouthTrust invest all or any part of its after-tax cost of capital for providing such Participant's Account in any type of life insurance contract, on the life of the Participant or the lives of the Participant and his spouse.

  • Additional Investment The Investor commits to invest in additional Class A Shares or American depositary shares representing Class A Shares if and when the Company conducts an IPO, of an amount of no more than the Purchase Price. The Company and the lead underwriters shall have the right to accept or not accept such investment and, if so accepted, to determine whether to accept the investment as part of the IPO or as a private placement. Neither the Company nor any underwriter for the Company’s IPO is under any obligation or commitment to issue any shares to the Investor in the IPO. Any such issuance will be decided by the Company and the lead underwriters for the IPO and must be in compliance with all applicable laws, regulations and rules.

  • Additional Investors Notwithstanding anything to the contrary contained herein, if the Company issues additional shares of the Company’s Preferred Stock after the date hereof, any purchaser of such shares of Preferred Stock may become a party to this Agreement by executing and delivering an additional counterpart signature page to this Agreement, and thereafter shall be deemed an “Investor” for all purposes hereunder. A Person shall be deemed admitted as a Limited Partner at the time such Person (i) executes this Agreement or a counterpart of this Agreement and (ii) is named as a Limited Partner in the books of the Partnership. Without limiting the foregoing, but subject to Section 4.1(c), the General Partner is expressly authorized to cause the Partnership to issue Units (A) upon the conversion, redemption or exchange of any debt or other securities issued by the Partnership, (B) for less than fair market value or no consideration, so long as the General Partner concludes that such issuance is in the best interests of the Partnership and its Partners, and (C) in connection with the merger of any other Person into the Partnership if the applicable merger agreement provides that Persons are to receive Units in exchange for their interests in the Person merging into the Partnership. The General Partner is hereby expressly authorized to take any action, including without limitation amending this Agreement without the approval of any other Partner, to reflect any issuance of additional Units. Subject to Section 4.1(c), additional Units may be Class A Common Units, Class B Common Units or other Units.
