Adjustment of Percentage Fee. On and after the MMG Commencement Date (as provided in the Basic Information Sheet) with respect to each Unit, on August Fifteenth of each Agreement Year, Concessionaire shall prepare and submit to City a statement showing the total Percentage Fee paid by Concessionaire for the previous agreement year with respect to each Unit. The Agreement Year will be July 1 to June 30 (“Agreement Year”). If the Base Rent paid by Concessionaire with respect to a Unit during any Agreement Year exceeds the greater of (i) the Minimum Monthly Guaranteed Rent for such Unit multiplied by twelve, or (ii) the total Percentage Fee for such year- for such Unit (the "Actual Rent"), such overpayment shall be credited to the fees and charges thereafter due from Concessionaire. If Concessionaire's aggregate 09-11 -14 Retail 1st Amended Concession Agr K.:RT/CDG/Concessions/T457S Rev/FB/ Concessionaire, LAA-S552 payments with respect to a Unit are less than the Actual Rent for such Unit, Concessionaire shall, within ten (10) calendar days, pay City the difference.
