Adjustments to the Principal Balance of the Acquisition Notes. (a) Reductions in Principal Balance of the Acquisition Notes. All liability, debt and obligations existing as of the Closing Date, including, but not limited to any liabilities reflected on the Company Balance Sheet, any and all Company debt, liability or obligations accrued since the Balance Sheet Date in the ordinary course of business, whether due or to become due and any and all charges appearing on any outstanding billing statements of the Company Visa Card and Company American Express Cards guaranteed by Gxxxx Xxxxxx (“Company Credit Cards”) (including billing statements received within sixty (60) days of the Closing), shall be paid by the Shareholders to the Surviving Corporation through the reduction of the principal balance of the Acquisition Notes, as provided therein.
