Administrative Violations. If Seller receives any finding, order, ------------------------- complaint, citation or notice prior to Closing which states that any aspect of the Station's operation violates or may violate any rule, regulation or order of the Commission or of any other Governmental Authority (an "Administrative Violation"), including, any rule, regulation or order concerning environmental protection, the employment of labor or equal employment opportunity, Seller shall promptly notify Buyer of the Administrative Violation, use its best efforts to remove or correct the Administrative Violation, and be responsible prior to Closing for the payment of all costs associated therewith, including any fines or back pay that may be assessed.

Administrative Violations. If the ACME Entities receive any finding, order, complaint, citation or notice prior to the Closing Date which states that any aspect of the Station's operations violates any rule or regulation of the FCC or of any other Governmental Body (an "Administrative Violation"), including, without limitation, any rule or regulation concerning environmental protection, the employment of labor, or equal employment opportunity, the ACME Entities shall, if such violation is material to the Business, promptly notify Buyer of the Administrative Violation and, whether or not such violation is material to the Business, the ACME Entities shall (i) if the allegation is valid, use reasonable efforts to remove or correct the Administrative Violation, and (ii) be responsible for the payment of all costs associated therewith, including any fines or back pay that may be assessed.

If any SBS Entity receives any finding, order, complaint, citation or notice prior to the Closing Date which states that any aspect of the Station's operations violates any rule or regulation of the FCC or of any other Governmental Body in any material respect (an "Administrative Violation"), the SBS Entities shall (i) promptly notify Buyer of the Administrative Violation, (ii) except to the extent otherwise addressed in Section 5.6, use their commercially reasonable efforts to remove or correct the Administrative Violation (provided, however, that the SBS Entities may dispute, in good faith, the findings of any Administrative Violation), and (iii) be responsible for the payment of all costs associated therewith, including any fines or back pay that may be assessed, to the extent they relate to Administrative Violations occurring prior to the Closing; provided that nothing in this Section shall relieve the SBS Entities of their obligations with respect to the representations and warranties contained herein.

If the Xxxxxx Entities receive any finding, order, complaint, citation or notice prior to the Closing Date which states that any aspect of the Stations’ operations violates any rule or regulation of the FCC or of any other Governmental Body (an “Administrative Violation”), the Xxxxxx Entities shall promptly notify Buyer of the Administrative Violation, and shall, except to the extent otherwise provided in Section 5.6, remove or correct the Administrative Violation (provided, however, that the Xxxxxx Entities may dispute, in good faith, the findings of any Administrative Violation), and be responsible for the payment of all costs associated therewith, including any fines or back pay that may be assessed; provided that nothing in this Section shall relieve the Xxxxxx Entities of their obligations with respect to the representations and warranties contained herein; provided, further, that nothing in this Section shall require the Xxxxxx Entities to remedy any Administrative Violation to the extent caused by or under the direction of Buyer under the TBA or otherwise, and Buyer shall remedy any such Administrative Violation.

If the Equity Entities receive any finding, order, complaint, citation or notice prior to the Closing Date which states that any aspect of the Stations’ operations violates any rule or regulation of the FCC or of any other Governmental Body (an “Administrative Violation”), the Equity Entities shall promptly notify Buyer of the Administrative Violation, shall remove or correct the Administrative Violation (provided, however, that the Equity Entities may dispute, in good faith, the findings of any Administrative Violation), and be responsible for the payment of all costs associated therewith, including any fines or back pay that may be assessed; provided, however, that nothing in this Section shall relieve the Equity Entities of their obligations with respect to the representations and warranties contained herein.
