ADR Facility. At any time that any of the Registrable Securities owned by any Original Shareholder are listed on a United States securities exchange or quoted on an inter-dealer quotation system in the United States in the form of ADRs, the Company shall ensure that there are available for issuance a sufficient number of such ADRs to represent all such Registrable Securities issuance upon the deposit therefore under the applicable ADR facilities and such ADRs are registered under the Securities Act.
ADR Facility. The Company acknowledges and agrees that at Closing (a) the Subscribed Shares shall be deposited in the ADR Facility pursuant to the Deposit Agreement, (b) there shall be no costs to SAIF for the ADR Facility, except as expressly set out in the Deposit Agreement (c) the Subscribed Shares shall be held by the Depositary Bank under the Deposit Agreement; and (d) SAIF holds the beneficial title to the Subscribed Shares and the legal title to the Subscribed ADSs.
ADR Facility. So long as the Purchaser or its Affiliates hold in the aggregate at least 5% of the Company's ordinary shares, the Company shall maintain in full force and effect its current Deposit Agreement between the Company and The Bank of New York as depositary with respect to its ADR facility, and shall ensure that the Purchaser and its Affiliates shall have the right to exchange their ordinary shares for ADSs in accordance therewith or shall, at the Purchaser's request, enter into an alternate agreement with another depositary on terms and conditions reasonably satisfactory to the Purchaser and the Company to permit such conversion, in each case at the Company's expense. During such time period, the Company shall use its best efforts to maintain the listing of the Company's ADRs on the New York Stock Exchange (the "NYSE") and maintain the listing of its ordinary shares on the Premier Marche of the Paris Bourse and shall file with the NYSE and the Paris Bourse all documents and notices required by either the NYSE or the Paris Bourse of companies whose securities are traded thereon.

  • DTC Facility The Company shall cooperate with Manager and use its reasonable efforts to permit the Shares to be eligible for clearance and settlement through the facilities of DTC.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, the aggregate principal amount of Shelf Notes stated in Section 1.2, minus the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time.   • Overdraft Facility In the event that the Custodian is directed by Proper Instructions to make any payment or transfer of funds on behalf of the Fund for which there would be, at the close of business on the date of such payment or transfer, insufficient funds held by the Custodian on behalf of the Fund, the Custodian may, in its sole discretion, provide an overdraft (an "Overdraft") to the Fund in an amount sufficient to allow the completion of such payment. Any Overdraft provided hereunder: (a) shall be payable on the next business day, unless otherwise agreed by the Fund and the Custodian; and (b) shall accrue interest from the date of the Overdraft to the date of payment in full by the Fund at a rate agreed upon in writing, from time to time, by the Custodian and the Fund. The purpose of such Overdrafts is to temporarily finance extraordinary or emergency expenses not reasonably foreseeable by the Fund. The Custodian shall promptly notify the Fund in writing ("Overdraft Notice") of any Overdraft by facsimile transmission or in such other manner as the Fund and the Custodian may agree in writing. The Custodian shall have a right of set-off against all Assets (except for Assets held in a segregated margin account or otherwise pledged in connection with options or futures contracts held for the benefit of the Fund and for Assets allocated to any other Overdraft or loan made hereunder); provided, however, the Custodian shall promptly notify the Fund in writing of any intent to exercise a right of set-off against Assets hereunder and shall not exercise any such right of set-off against Assets hereunder unless and until the Fund has failed to pay (within ten (10) days after the Fund's receipt of such notice of intent to exercise a right of set-off), any Overdraft, together with all accrued interest thereon. Notwithstanding the provisions of any applicable law, including, without limitation, the Uniform Commercial Code, the only rights or remedies which the Custodian is entitled to with respect to Overdrafts is the right of set-off granted herein.

  • Credit Facility This Warrant to Purchase Stock (“Warrant”) is issued in connection with that certain Mezzanine Loan and Security Agreement of even date herewith between Silicon Valley Bank and the Company (as amended and/or modified and in effect from time to time, the “Loan Agreement”). Within the foregoing limits, and subject to the other terms and conditions hereof, the Company's ability to obtain Letters of Credit shall be fully revolving, and, accordingly, the Company may, during the foregoing period, obtain Letters of Credit to replace Letters of Credit which have expired or which have been drawn upon and reimbursed.

  • Terms of Ancillary Facilities (a) Except as provided below, the terms of any Ancillary Facility will be those agreed by the Ancillary Lender and the Company.
