AEGON N. V., a public limited liability company (naamloze vennootschap) duly incorporated under the laws of The Netherlands, with its registered seat in The Hague, the Netherlands and address at Xxxxxxxxxx 00, 0000 XX, Xxx Xxxxx, Xxx Xxxxxxxxxxx (AEGON);
AEGON N. V., a public company under the laws of the Netherlands, having its seat in The Hague and its office address at Aegonplein 50, 2591 TV The Hague (the Company); and
AEGON N. V., a public company, having its seat in The Hague and its off ice address at AEGONplein 50, 2591 TV The Hague (the " Company"); and
AEGON N. V., a public company incorporated and existing under Dutch law, with statutory seat in the Hague and principal office at 2591 TV, AEGONplein 50, The Hague (“AEGON”);
AEGON N. V. will pay Xx. Xxxxxxx the same compensation as mentioned in 9.1 for damages in case of giving notice of termination of this agreement by Xx. Xxxxxxx, provided that this notice of termination is directly related to a merger, take-over, fundamental changes in policy and related organisational amendments or the appointment by AEGON N.V. of a director with a higher position in law and/or in fact, so that Xx. Xxxxxxx is no longer able to carry out his function at the level at which he carried it out previously.
AEGON N. V., a public limited company (in Dutch: “naamloze vennootschap”), established in The Hague, the Netherlands, represented for this purpose by Xx. X.X. Xxxxxxxx, in his capacity of chairman of and acting on behalf of the supervisory board of Aegon N.V., hereinafter the Company; and
AEGON N. V., a Netherlands public company;
AEGON N. V., a public limited liability company (naamloze vennootschap) organised under the laws of the Netherlands, whose corporate seat is at ‘s Gravenhage and registered with the trade register of the Dutch Chamber of Commerce under number 27076669 (“Aegon”); and
AEGON N. V., a corporation duly organized and existing under the laws of The Netherlands, having its principal office at Xxxxxxxxxxxxxxx 00, 0000 XX, Xxx Xxxxx, Xxx Xxxxxxxxxxx ("AEGON N.V."); and
AEGON N. V. shall timely compensate Xx. Xxxxxxx to the extent that the total actual annual taxation, including social security contributions, on his total income under the employment agreements with AEGON N.V. and AEGON USA, including tax liability resulting from payments under this Section 7.1, exceeds the taxation on income paid under his employment agreements with AEGON N.V. and AEGON USA that would result if Xx. Xxxxxxx’x remuneration from AEGON N.V. and AEGON USA were subject only to U.S. Federal, state and local tax. Xx. Xxxxxxx shall use his best endeavours, to be determined in Xx. Xxxxxxx’x sole discretion, to keep the costs of such tax equalisation for AEGON N.V. at the lowest possible level. AEGON N.V. will take care of Xx. Xxxxxxx’x annual income tax return statements. AEGON N.V. will continue to do so after Xx. Xxxxxxx’x retirement, unless AEGON N.V. and Xx. Xxxxxxx mutually agree to the contrary at any given moment.
