Affidavit of Title and ALTA Statement. An Affidavit of Title (or comparable document), as and if required by the Title Company as a condition to the deletion of the general exceptions of Schedule B, Section 2 of the Title Policy, executed by Contributor;
Affidavit of Title and ALTA Statement. Sellers shall furnish Purchaser at closing with an Affidavit of Title, covering the date of closing, subject only to those permitted exceptions, and other exceptions, if any, as to which the title insurer commits to extend insurance. Seller shall also furnish to Purchaser a properly executed ALTA Statement.

As to each Project, an Affidavit of Title (or comparable document) as reasonably required by the Title Company in the Commonwealth of Pennsylvania as a condition to the deletion of the general exceptions of Schedule B, Section 2 of each Title Policy, executed by the applicable Entity or Seller, as applicable, and in form and substance acceptable to the Title Company and to Buyer;
Affidavit of Title and ALTA Statement. An Affidavit of Title and an ALTA Statement, each executed by Seller and in form and substance acceptable to the Title Company and reasonably acceptable to Purchaser.

As to each Project, an Affidavit of Title (or comparable document) limited solely to status of parties in possession, absence of outstanding contracts of sale and mechanics' and/or materialman liens and such additional affidavits as the Title Company shall reasonably require in order to issue an owner's policy of title insurance (or any appropriate endorsement, including without limitation "nonimputation" and "same as survey" endorsements (if available), to any Owner's existing policy of title insurance, if any, insuring the Owner's title as of the Closing Date and in the amount of the applicable portion of the Asset Value) free of any Prohibited Exceptions;

As to each Property, an Affidavit of Title and an ALTA Statement (or comparable forms required by the Title Company in New Jersey and required by the Title Company as a condition to the issuance of the Title Policies), including any affidavit required to obtain a non-imputation endorsement, each executed by the XxXxxxx Contributor and in form and substance acceptable to the Title Company and to Acquiror;

As to the Real Property, an Affidavit of Title (or comparable document) as required by the Title Company in the State of Maryland as a condition to the deletion of the general exceptions of Schedule B, Section 2 of each Title Report, executed by Contributor, as applicable, and in form and substance acceptable to the Title Company and to Acquiror (as if the Ground Lease was evidenced of record by a memorandum of lease or other similar instrument);
