Agency Notices. Each Borrower shall promptly furnish the Lender copies of all notices it receives from Xxxxxx Mae, Xxxxxxx Mac, HUD or Xxxxxx Mae indicating any adverse fact or circumstance in respect of the Borrower with respect to which adverse fact or circumstance Xxxxxx Xxx, Xxxxxxx Mac, HUD or Xxxxxx Mae, respectively, announces its intention to terminate or threatens to terminate such Borrower or the Subservicer with cause or with respect to which Xxxxxx Xxx, Xxxxxxx Mac, HUD or Xxxxxx Mae, announces its intention to conduct any inspection or investigation of such Borrower or Subservicer, or either of their files or facilities outside of the ordinary course.
Agency Notices. Unless required by the applicable Agency or Requirements of Law to maintain confidential, the Borrower shall promptly furnish the Lender copies of all written notices it receives from Xxxxxx Xxx, Freddie Mac, HUD or Xxxxxx Xxx indicating any adverse fact or circumstance in respect of the Borrower with respect to which adverse fact or circumstance Xxxxxx Xxx, Freddie Mac, HUD or Xxxxxx Xxx, respectively, announces its intention to terminate or threatens to terminate the Borrower with cause or with respect to which Xxxxxx Xxx, Freddie Mac, HUD or Xxxxxx Xxx, announces its intention to conduct any inspection or investigation of Borrower, Borrower’s files or Borrower’s facilities outside of the ordinary course;
Agency Notices. Promptly after the receipt thereof by the Borrower or any Restricted Subsidiary, copies of all notices it receives from Xxxxxx Xxx, Xxxxxxx Mac, HUD or Xxxxxx Mae indicating any adverse fact or circumstance in respect of the Borrower or such Restricted Subsidiary with respect to which adverse fact or circumstance Xxxxxx Xxx, Xxxxxxx Mac, HUD or Xxxxxx Mae, respectively, announces its intention to terminate or threatens to terminate the Borrower or such Restricted Subsidiary with cause or with respect to which Xxxxxx Xxx, Xxxxxxx Mac, HUD or Xxxxxx Mae, announces its intention to conduct any inspection or investigation of the Borrower or such Restricted Subsidiary, or their files or facilities outside of the ordinary course.
Agency Notices. Unless the Borrower is prohibited by the Applicable Agency, any regulator, a Governmental Authority or a Requirement of Law from sharing due to confidentially restrictions, the Borrower shall promptly furnish the Lender, within three (3) Business Day of receipt, (i) a copy of any notices it receives from Xxxxxx Xxx or Freddie Mac indicating any adverse fact or circumstance in respect of the Borrower with respect to which adverse fact or circumstance Xxxxxx Xxx or Freddie Mac, respectively, announce its intention to terminate or threatens in writing to terminate the Borrower with cause and (ii) a copy of any notice from an Applicable Agency indicating material breach, default or material non-compliance by the Borrower. For the avoidance of doubt, to the extent the Borrower is prohibited from sharing any of the notices referenced in clauses (i) and (ii) above but is not prohibited from sharing the substance of such notices, the Borrower shall promptly notify the Lender of the substance of such notices.
Agency Notices. Unless the Borrower is prohibited by the Applicable Agency, any regulator, a Governmental Authority or a Requirement of Law from sharing due to confidentially restrictions, the Borrower shall promptly furnish the Lender, within three (3) Business Day of receipt, (i) a copy of any notices it receives from Xxxxxx Xxx or Freddie Mac indicating any adverse fact or circumstance in respect of the Borrower or Subservicer with respect to which adverse fact or circumstance Xxxxxx Xxx or Freddie Mac, respectively, announce its intention to terminate or threatens in writing to terminate the Borrower or Subservicer with cause and, (ii) a copy of any notice from an Applicable Agency indicating material breach, default or material non-compliance by the Borrower or Subservicer and (iii) to the extent Borrower receives notice that Subservicer is under review, or has knowledge of imminent or future investigations (other than routine reviews and investigations in the ordinary course of business) by Xxxxxx Xxx, Xxxxxx Xxx, HUD or Freddie Mac, copy of such notice. For the avoidance of doubt, to the extent the Borrower or Subservicer is prohibited from sharing any of the notices referenced in clauses (i), (ii) and (iiiii) above but is not prohibited from sharing the substance of such notices, the Borrower shall promptly notify the Lender of the substance of such notices.
Agency Notices. With reasonable promptness, such further information regarding the business, operations, properties or financial condition of the Borrowers as the Agent may reasonably request, including copies of any audits completed by HUD, Xxxxxx Xxx, Xxxxxx Xxx or Xxxxxxx Mac, as well as any material notices to the Borrowers from any of the foregoing Persons; provided, however that any such requested information that requires the prior consent of the foregoing Persons prior to delivery to the Agent shall be subject to such Person’s prior consent.

Unless the Borrower is prohibited by the Freddie Mac Requirements, the Applicable Agency, any regulator, a Governmental Authority or a Requirement of Law from sharing due to confidentially restrictions, the Borrower shall promptly furnish the Lender, within [***] Business Day of receipt, (i) a copy of any notices it receives from Xxxxxx Xxx or Freddie Mac indicating any adverse fact or circumstance in respect of the Borrower or Subservicer with respect to which adverse fact or circumstance Xxxxxx Xxx or Freddie Mac, respectively, announce its intention to terminate or threatens in writing to terminate the Borrower or Subservicer with cause and (ii) a copy of any notice from an Applicable Agency indicating material breach, default or material non-compliance by the Borrower or Subservicer. For the avoidance of doubt, to the extent the Borrower or Subservicer is prohibited from sharing any of the notices referenced in clauses (i) and (ii) above but is not prohibited from sharing the substance of such notices, the Borrower shall promptly notify the Lender of the substance of such notices.
Agency Notices. PLS shall promptly furnish the Administrative Agent copies of all notices it receives from HUD or Xxxxxx Mae indicating any adverse fact or circumstance in respect of PLS which adverse fact or circumstance may entitle HUD or Xxxxxx Xxx, respectively, to terminate or to threaten to terminate PLS with cause or that may entitle HUD or Xxxxxx Mae to conduct any inspection or investigation of PLS, PLS’ files or PLS’ facilities.
Agency Notices. With reasonable promptness, such further information regarding the business, operations, properties or financial condition of the Borrower as Agent may reasonably request, including copies of any audits completed by HUD, Xxxxxx Mae, Xxxxxx Xxx or Xxxxxxx Mac, as well as any material notices to the Borrower from any of the foregoing Persons.
Agency Notices. Within two (2) Business Days of receipt, (i) a copy of any notices it receives from Fxxxxx Mxx, Fxxxxxx Mac, Gxxxxx Mxx or HUD indicating any adverse fact or circumstance in respect of the Borrowers or Subservicer which adverse fact or circumstance may entitle Fxxxxx Mae, Fxxxxxx Mac, Gxxxxx Mxx or HUD, respectively, to terminate or to threaten to terminate Borrower or Subservicer with cause or that may entitle Fxxxxx Mae, Fxxxxxx Mac, Gxxxxx Mxx or HUD to conduct any inspection or investigation of any Borrower or Subservicer, or either of their files or facilities, (ii) a copy of any other notices it receives from any Agency related to the servicing of any Mortgage Loans owned by such Agency, (iii) a copy of any demand by any Agency or an insurer for the repurchase of or indemnification with respect to a Mortgage Loan and the reason for such repurchase or indemnification, and (iv) a copy of any notice from an Agency indicating material breach, default or material non-compliance by the Borrowers or Subservicer.
