Agent Compliance Clause Samples
The Agent Compliance clause requires agents acting on behalf of a party to adhere to specific laws, regulations, or contractual obligations relevant to the agreement. In practice, this means that any third-party agents, representatives, or subcontractors must follow the same standards and requirements as the primary party, such as maintaining confidentiality or complying with anti-bribery laws. This clause ensures that the actions of agents do not expose the contracting parties to legal or regulatory risks, thereby maintaining accountability and protecting both parties from potential breaches caused by third parties.
Agent Compliance. Owner will operate and maintain the Project consistent with the highest commercial standards, Program Requirements, and to OHCS’ satisfaction. If other OHCS or other governmental funding is used with respect to the Project, Owner also will conform to any higher or more limited standards applicable to such funding.
Agent Compliance. Grantee will comply, and will cause its agents, employees, contractors, subgrantees and assigns, if any, to comply with the terms and conditions of this Agreement, including the Program Requirements, and for any contractors to be registered with the Construction Contractors Board, licensed, bonded and insured, as applicable.
Agent Compliance. Vendor must take appropriate action such that any Agents who have access to City Sensitive Data pursuant to any prior approval of the City are advised of, and comply with, these terms and conditions; and Agents who are individuals and have access to City Sensitive Data are trained regarding their handling of such City Sensitive Data. Vendor is responsible for any failure of its Agents to comply with these provisions regarding City Sensitive Data.
Agent Compliance. Owner shall comply, and will cause its agents, employees, contractors, subgrantees and assigns, if any, to comply with the terms and conditions of this Agreement, including the Program Requirements.
Agent Compliance policies and shall procure that each Security Party will, comply with all those compliance policies of the Agent that have been agreed and accepted by the Security Parties or notified to the Security Parties.
