AGREEMENT, MODIFICATION AND WAIVER. Section 1: This MOU sets forth the full and entire agreement of the parties regarding the matters set forth herein, and any other prior or existing understanding or agreement over these matters between the parties, whether formal or informal, are hereby superseded or terminated in their entirety. Except as specifically provided herein, it is agreed and understood that the parties hereto reserve the right, upon mutual agreement, to meet and confer in good faith with respect to any subject or matter covered herein or with respect to any other matter within the scope of representation, during the term of this MOU. Unless otherwise permitted by this MOU or required by law, no agreement, alteration, understanding, variation, waiver, or modification of any of the terms or provisions contained herein shall in any manner be binding upon the parties hereto unless made and executed in writing by all parties hereto and, if required, approved and implemented by the Region. The waiver of any breach, term or condition of this MOU by either party shall not constitute a precedent in the future enforcement of all its terms and provisions. Section 2: It is understood and agreed that the provisions of this Section are intended to apply only to matters that are not specifically covered by this agreement. With respect to matters not specifically covered by this agreement, existing policies, procedures and practices shall govern. It is recognized that during the term of this agreement it may be necessary for the courts to make changes in policies, procedures or practices affecting the employees of the Unit. When the Court finds it necessary to make such a change it shall notify the Union indicating the proposed change and the Region shall meet and confer with the Union over the impact of the proposed change on Unit members prior to implementation. Any agreement resulting from such meet and confer shall be executed in writing by all parties hereto, and, if required, approved and implemented in accordance with this Memorandum of Understanding.
