Agreement to be Bound by Operating Agreement. Investor acknowledges receipt of a copy of the Operating Agreement and by execution hereof agrees to become a party to and be bound by all the terms and conditions of the Operating Agreement as a Member.
Agreement to be Bound by Operating Agreement. The undersigned hereby agrees to be and is bound by the terms and conditions of that certain Amended and Restated Operating Agreement of Dream Finders Holdings LLC (the “Operating Agreement”) as of the Effective Date of that certain Membership Interest Grant Agreement by and between the undersigned and Dream Finders Holdings LLC.
Agreement to be Bound by Operating Agreement. As of the Closing, the undersigned shall be admitted to the Company as a Member (as that term is defined in the Operating Agreement) and shall have all the rights and be subject to all the obligations of such Member, as an owner of Units, under the Operating Agreement. The undersigned understands and agrees his, her, or its ownership of Units will be governed by the Operating Agreement and undersigned shall be bound by all the terms and conditions of the Operating Agreement. The undersigned further acknowledges and agrees that, except as otherwise expressly provided in the Operating Agreement, arbitration is the sole and exclusive remedy for the settlement of any dispute or controversy concerning the Operating Agreement or the rights of the parties under the Operating Agreement.
Agreement to be Bound by Operating Agreement. The Trust acknowledges receipt of a true and correct copy of the Second Amended and Restated Operating Agreement of the Company, dated January 19, 2018 (as such may be amended, modified or restated from time to time, the “Operating Agreement”), and further acknowledges that Trust has read the Operating Agreement and understands and agrees to abide by all terms, covenants, conditions, limitations, restrictions and provisions contained in the Operating Agreement. By execution of this Series C Preferred SPA, the Trust agrees to be bound by the Operating Agreement and agrees that the Operating Agreement is binding upon and inures to the benefit of the heirs, legatees, devisees, legal representatives, successors, and permitted assigns of the Trust.

By execution of this Agreement, the Purchaser agrees to be bound by the Operating Agreement and agrees that the Operating Agreement is binding upon and inures to the benefit of the heirs, legatees, devisees, legal representatives, successors and permitted assigns of the Purchaser.

Investor acknowledges that the issuance of 167 Series C Units to Investor in connection herewith satisfies all outstanding obligations of Longeveron to issue Units or Unit Equivalents (both as defined in the Operating Agreement) to Investor.
Agreement to be Bound by Operating Agreement. The undersigned hereby acknowledges receipt of the Company Operating Agreement of Canuck Producktions, LLC (the “Operating Agreement”), and hereby expressly accepts and adopts each and every provision of the Operating Agreement and agrees to be bound thereby upon the execution and delivery of the Operating Agreement.

Investor acknowledges that the issuance of 1,901 Series C Units to Investor in connection herewith satisfies all outstanding obligations of Longeveron to issue Units or Unit Equivalents (both as defined in the Operating Agreement) to Investor, subject to terms of the Overall Agreement between Optimal Networks, Inc. and Longeveron, LLC effective April 11, 2015.
